" <br /> <br />~/'~ <br /> <br />J <br /> <br />City of San Leandro <br />Civic Center, 835 E. 14th Street <br />San Leandro, California 94577 <br /> <br />~............_-" <br /> <br />May 3, 2005 <br /> <br />Mr. Louie Pellegrini <br />Vice President <br />Alameda County Industries, Inc. <br />601 AJactdin Avenue <br />San Leandro, CA 94577 <br /> <br />RE: FIFTH AMENDMENT TO FRANCHISE AGREEMENT <br /> <br />Dear Mr. Pellegrini: <br /> <br />This letter (the "Amendment") is the fifth amendment to that certain Franchise Agreement for Solid <br />Waste, Recyc1abJes, and Green Waste Services between the City of San Leandro and Alameda County <br />Industries, Inc., dated February 1,2000 (the "Agreement"). <br /> <br />For good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the <br />City of San Leandro and Alameda County Industries, Inc., hereby agree as follows: <br /> <br />1. Alameda County Industries, Inc. (ACI) agrees to retrofit 24 existing diesel refuse trucks with PM <br />and NOx emission control devices by December 31, 2005 in advance ofthe California Air <br />Board's timetable of retrofit requirements. <br />2. The City agrees to accept grant funds from the Bay Area Air Quality Management District <br />(BAAQMD) in the amount of $216,000 for ACI, to fund the cost of the NOx portion of the <br />retrofit. The City will forward grant payment installments to ACT, on a reimbursement basis <br />following the payment schedule in the grant agreement. <br />3. ACI will submit quarterly grant reports and a final grant report to the City two weeks prior to the <br />due dates prescribed by the BAAQMD in the grant agreement. The quarterly report due daks are <br />April 15, 2005, July 15,2005, October 15,2005 and quarterly thereafter until all diesel refuse <br />vehicles have been retrofitted with emission control devices. The final report due date is <br />December 30,2005. <br />4. The City agrees that ACT may recover $240,000 in costs associated with the PM portion of the <br />retrofit through a limited fee charged to ACI customers. ACI will recover these costs by adding a <br />temporary increase of 2.2% to all published rates during fiscal year 2005-2006. ACI must send a <br />written notification to all customers before adding the additional charge. <br />5.
