Severability. The invalidity of any clause, part or provision of this Agreement <br />shall not affect the validity ofthe remaining portions thereof. <br /> <br />Section 18. Governing Law. This Agreement shall be governed by the laws of the State of <br />California, excluding conflicts provisions, and, where applicable, the laws of the United States of <br />America. <br /> <br />Section 19. SurvivalofObJigations. The obligations of the Owner as set forth herein and in <br />the application shall survive the allocation of the Tax Credit and shall not be deemed to terminate <br />or merge with thc awarding of the allocation. <br /> <br />Section 20. Interpretation.
