The City and Kaiser will cooperate in developing and submitting <br />additional information deemed necessary by the City to undertake its timely review and <br />approval process for the entitlement process, it being the understanding of the parties <br />that the entitlement process will be streamlined and efficient, and that more detailed <br />design submittals will follow in a design review and approval process that will parallel <br />track the later part of the EIR schedule, after the preparation of the Draft EIR, and that <br />the City will not be accountable for delays in the project schedule that may occur on the <br />part of Kaiser. The parties will meet and negotiate on the terms of a Development <br />Agreement acceptable to Kaiser and the City, which Development Agreement shall be <br />available for public approval in sufficient time for the Planning Commission <br />recommendation and City Council final action on the Project. <br /> <br />3.2.2 Environmental Impact Report. Kaiser agrees to cooperate with the <br />City in the preparation of the EIR, provided however, that the City shall act as the lead <br />agency and all decisions made by City shall be final. Kaiser's cooperation shall include, <br />but not be limited to finalizing the project description for the EIR, expeditious review of <br />technical studies prepared by consultants that will serve as the basis for preparation of <br />the EIR, and continuing to meet with the City and Caltrans to develop traffic mitigation <br />and improvement plans for the 1-880/Marina Boulevard interchange. Kaiser shall have <br />the right to review the preliminary analysis, draft narrative and other reports prepared by <br />the City's consultants for accuracy and completeness, provided that the City shall <br />receive all comments and suggestions from Kaiser and shall have the sole right to <br />determine whether the suggested changes are included in the Consultants' work <br />prod uct. <br /> <br />4. Costs Related to Entitlement Process. Kaiser hereby agrees to reimburse City <br />for all staff and consultant costs directly associated with the entitlement process for the <br />Project, with the understanding that internal staff time will be recharged to Kaiser on a <br />time and materials basis, per City resolution, and as reasonably agreed to between <br />Kaiser and the City. Kaiser agrees to reimburse the City for the actual costs for <br />providing the services associated with the Project for staff and contract personnel. <br />Kaiser agrees to reimburse for consultants and other professionals retained or <br />employed by the City and mutually determined to be necessary for the review and <br />approval of the Project. Other than normal staff work, the City will consult with Kaiser <br />prior to authorizing consultant work to identify the scope of work, projected costs, and <br />proposed consultants. <br /> <br />5. Development A~reement. Kaiser acknowledges that: (a) the Site is one of the <br />largest vacant assembled properties along the northern 1-880 corridor; (b) development <br />of the Project on the Site will cause the City to lose the opportunity for tax revenues <br />from alternative land uses; and (c) a portion of the Project is exempt from City taxes as <br />a result of Kaiser's status as a nonprofit public benefit corporation. Kaiser further <br />acknowledges that the Keyser-Marsten Report may establish that said nonprofit entity <br />status will result in a significant loss in property tax revenue and other tax revenues to <br />the City.
