<br />RIGHT-OF-ENTRY AND INDEMNITY AGREEMENT <br /> <br />Board of Port Commissioners <br />of the City of Oakland <br />530 Water Street <br />Oakland, California 94607 <br /> <br />Dear Commissioners: <br /> <br />In consideration of the City of Oakland, a municipal corporation, <br />acting by and through its Board of Port Commissioners (the "Port"), <br />permitting the undersigned ("Permittee") to enter upon the Port premises <br />described in this Agreement (the "Premises"), Permittee agrees as <br />follows: <br /> <br />1. Cooke, Principal Engineer <br /> <br />2. <br /> <br />Term: <br /> <br />The permission granted Permittee under this Agreement <br />(the "Commencement Date") and <br /> <br />commences on <br />shall terminate upon the earlier of: <br /> <br />a) <br /> <br />Twel ve (12) months after Permittee has noti fied <br />and the Port has approved the determination <br />completion of the Trail Improvements, or <br /> <br />the Port <br />of the <br /> <br />b) Six (6) months after the Commencement Date if Permittee <br />has not commenced construction of the Trail Improvements. <br /> <br />Permittee may request in writing at least 60 days prior to the date of <br />termination for an extension of the Permit for an additional twelve (12) <br />months from the date of termination of the Permit by certifying that <br />that such extension is needed to meet funding timelines or construction <br />season constraints. The Port will not unreasonably deny the request. <br />If the Port grants the request, the Port and Permittee shall enter into <br />an amendment of this Permit to reflect the extended date of termination <br />and any additional provisions as the Port may reasonably request to <br />reflect the then current operating conditions. <br /> <br />3. Commencement Dated: <br /> <br />Commencement Date. <br /> <br />This Agreement is dated as of the <br /> <br />4. Description of Premises: The Premises consists of the <br />following: A strip of land containing approximately 50,500 square feet <br />being, 1,2002: feet in length by 442: feet in width, located on the <br />eastern edge of the Oakland International Airport, adjacent to the City <br />of San Leandro.
