<br />1.3 The Aqreement. Refers to this Agreement between the Agency and the
<br />Owner and all references to sections, paragraphs, exhibits or addenda shall mean the
<br />sections, paragraphs, exhibits or addenda of this Agreement.

<br />1.4 The City. Shall refer to the City of San Leandro, California, (the "City") a
<br />municipal corporation, organized under the laws of the State of California.
<br />
<br />2. USE OF THE SITE.
<br />
<br />2.1 Uses. The Owner may use the Site for a food catering and event planning
<br />business and banquet hall, as well as all other reasonable uses associated with such
<br />businesses, including but not limited to a small administrative office and coincidental
<br />storage of business related supplies, to be owned and operated by Owner or other party
<br />upon consent of the Agency, which consent shall not be unreasonably withheld. Owner
<br />covenants and agrees for itself, its successors and assigns to the Site, or any part
<br />thereof, that the Site will be used only for these specified purposes unless the Agency
<br />and City subsequently approve other uses.

<br />2.2 Improvements to the Site. The Owner agrees that all improvements to or
<br />upon the Site shall be constructed pursuant to plans and specifications approved by the
<br />City and Agency (whose approval shall not be unreasonably withheld or delayed), shall
<br />comply with applicable government codes and regulations, and shall comply with all
<br />conditions imposed by the Agency or City. Owner agrees to place a sign
<br />acknowledging the Agency's participation (design to be provided by Agency) at the site
<br />during construction.

<br />3. Maintenance of the Site. Owner agrees to properly maintain the improvements
<br />on the Site and shall keep the Site free from litter, graffiti, peeling paint, unkempt
<br />landscaping, and other unsightly features as determined by the Community
<br />Development Department, Office of Business Development, Building Division,
<br />Redevelopment Agency, or any other City of San Leandro department.

<br />4. OBLIGATION TO REFRAIN FROM DISCRIMINATION.
<br />
<br />4.1. Nondiscrimination. There shall be no discrimination against or
<br />segregation of any person, or group of persons, on account of sex, marital status, race,
<br />color, creed, religion, national origin or ancestry in the sale, lease, sublease, transfer,
<br />use, occupancy, tenure or enjoyment of the Site, or any part thereof, nor shall the
<br />Owner or any persons claiming under or through them establish or permit any such
<br />practice or practices of discrimination or segregation with reference to the selection,
<br />locations, number, use or occupancy of tenants, lessees, subtenants, sublessees, or
<br />vendees of the Site.
<br />
<br />4.2 Form of Nondiscrimination and Nonseqreqation Clauses. Owner shall
<br />refrain from discriminating the rental, sale or lease of the property on the basis of sex,
<br />marital status, race, color, creed, religion, ancestry or national origin of any person. All
