EXHIBIT A

SCOPE OF SERVICES

SITE DESCRIPTION

The subject site comprises of the existing Bay Trail that runs south of the Monarch Bay Drive.
Paved trail exists for most of the section for about 1.5 to 2 miles. There are some slope failures
on the marsh side of the trail as a result of damage (washed out) during the earlier storms. The
marsh is inhabited by special status species (i.e. California clapper rail, salt-marsh harvest
mouse), therefore consultation with US Fish & Wildlife (USFWS) through the US Army Corps
of Engineers is required on this project. In addition, permit approvals are required from Bay
Conservation and Development Commission (BCDC), and Regional Water Quality Control
Board (RWQCB).

SCOPE OF SERVICES
ESA will submit a permit application to the US Army Corps of Engineers (Corps) for this
project. In addition, ESA will provide a technical memorandum to be submitted with the Corps
application that will focus on avoidance and mitigation measures, which will lessen effects of the
proposed project on special status species. ESA will be required to attend up to two meetings
with USFWS Staff and one meeting with City Staff during the Corps permit application approval
process. Furthermore, ESA will respond to information requests and comments from the Bay
Conservation and Development Commission (BCDC), and Regional Water Quality Control
Board (RWQCB) pertaining to permit applications previously submitted by the City. ESA will
respond to all agency comments on the applications and/or project and obtain permit approvals
from Corps, BCDC, and RWQCB.

COST ESTIMATE AND SCHEDULE

Time is of the essence, therefore the Consultant will, during the course of the study, keep the
City and all other interested parties advised of the schedule and relevant issues. The fee for the
above described services will be as per the attached spread sheet (Exhibit B). Services will
commence within two weeks following City's authorization. This cost estimate requires that
ESA attend up to two meetings with USFWS Staff and one meeting with City Staff.

ADDITIONAL SERVICES

Additional services can be provided on a time-and expense basis under separate servIce
agreements.

Shoreline Riprap Construction
147-42-148

March 13, 2007
