<br />City shall satisfy all of the following requirements which are herebygeclared to be conditions <br />precedent to such release: ~.. . <br /> <br />(a) The City shall file with the Authority and the Trustee an amended Exhibit <br />A to the Site Lease which describes the Leased Premises, as revised by such release; <br /> <br />(b) The City shall file with the Authority and the Trustee an amended Exhibit <br />A to the Lease Agreement which describes the Leased Premises, as revised by such <br />release; <br /> <br />(c) The City delivers to the Trustee and the Authority evidence in the form of <br />a written appraisal that the Leased Premises, as revised by such release, is of a value at <br />least equal to the principal amount of the Outstanding Certificates and has a useful life at <br />least equal to the remaining term of any Outstanding Certificates; <br /> <br />(d) The City shall obtain an amendment to the title insurance policy required <br />pursuant to the Lease which describes the Site, as revised by such release; and <br /> <br />(e) Written notice of such release shall be given by the City to any Rating Agency <br />then rating the Certificates. <br /> <br />ESTIMATED SOURCES AND USES OF FUNDS <br /> <br />The estimated sources and uses of funds with respect to the Certificates are shown <br />below. <br /> <br />SOURCE <br />Principal Amount of Certificates <br />Plus: Available Funds from 1999 <br />Certificates <br />Plus: Net Original Issue Premium <br />Total Sources <br /> <br />USES <br />Deposit to Escrow Fund <br />Underwriter's Discount <br />Deposit to Reserve Fund (1) <br />Costs of Issuance (2) <br />Total Uses <br /> <br />(1) Equal to the Reserve Requirement with respect to the Certificates. <br />(2) Includes filing and recording costs, printing costs, initial fees and charges of the <br />Trustee and Escrow Agent, legal fees and charges, Certificate insurance <br />premium, and costs of rating agency for credit rating. <br /> <br />-5- <br />
