<br />Premises, the City shall so certify to the Trustee and the Trustee, at the City's written request, <br />shalt transfer such proceeds to the Lease Payment Fund for the prepayment of the Lease <br />Payments and applied to the prepayment of Certificates. See "THE CERTIFICATES - <br />Prepayment." <br /> <br />(b) If the City has given written notice to the Trustee of its determination that (i) such <br />eminent domain proceedings have not materially affected the operation of the Leased Premises <br />or the ability of the City to meet any of its obligations with respect to the Leased Premises under <br />the Lease, and (ii) such proceeds are needed for repair, rehabilitation or replacement of the <br />Leased Premises, the City shall so certify to the Trustee and the Trustee, at the City's written <br />request, shall pay to the City, or to its order, from said proceeds such amounts as the City may <br />expend for such repair or rehabilitation. <br /> <br />(c) If (i) less than all of the Leased Premises shall have been taken in such eminent <br />domain proceedings or sold to a government threatening the use of eminent domain powers, <br />and if the City has given written notice to the Trustee of its determination that such eminent <br />domain proceedings have materially affected the operation of the Leased Premises or the ability <br />of the City to meet any of its obligations with respect to the Leased Premises under the Lease or <br />(ii) all of the Leased Premises shall have been taken in such eminent domain proceedings, then <br />the Trustee shall transfer such proceeds to the Lease Payment Fund to be applied to the <br />prepayment of the Lease Payments and applied to the prepayment of Certificates.
