<br />intends to remove from the Property before the Close of Escrow and which personal property <br />will remain thereon. Aside from materials necessary for the day-to-day operation of the <br />Property, SELLER will not remove any personal property from, or introduce any personal <br />property to, the Property unless such personal property is set forth in such Personal Property List. <br />SELLER agrees that any Personal Property remaining on the Property at Close of Escrow shall <br />become the Property of AGENCY. The Parties agree that room fixtures inside all the Motel <br />units are considered to be included in this sale, and shall not be removed by SELLER at any <br />point. <br /> <br />5.3 Resident List/Interviews. SELLER shall provide AGENCY with a list of all existing <br />Residents as of the Effective Date, within three (3) business days after the Effective Date, and <br />shall provide an updated list of Residents and rooms on the first Monday of each week during <br />Escrow. Throughout the Escrow period, SELLER will extend full cooperation to AGENCY in <br />allowing AGENCY to communicate with Residents on the Property. As such, SELLER and its <br />on-site staff shall be available to AGENCY's Agents during the Motel's normal business hours <br />to answer questions related to the Residents on the Property. SELLER shall make available a <br />room for on-site interviews of Residents and shall allow AGENCY's Agents to conduct <br />interviews therein on forty-eight (48) hours notice to SELLER. SELLER shall also deliver to <br />each existing Resident a General Information Notice on Non-Displacement, a copy of which is <br />attached hereto as Exhibit F. Transmittal by deposit into the mail slot of each Resident's room or <br />hand-delivery shall be deemed acceptable methods of delivery of notices for the purposes of this <br />section. <br /> <br />5.4 Right of Entry. From and after the Effective Date through the date that occurs thirty (30) <br />days prior to the Close of Escrow, AGENCY, AGENCY's Agents and the employees, <br />contractors, engineers, consultants and subcontractors of AGENCY's Agents (collectively, <br />"AGENCY's Representatives"), may, on forty-eight (48) hours prior notice to SELLER at the <br />Property, enter the Property at all reasonable times during normal business hours for the Motel. <br />At the time of such notices, AGENCY shall inform SELLER of the type of work or inspection to <br />be performed by AGENCY and/or AGENCY's Representatives in order that SELLER may post <br />notices of non-responsibility. AGENCY shall keep the Property free and clear of all mechanics <br />and other liens arising from AGENCY's activities or those of AGENCY's Representatives on the <br />Property. All entries onto the Property and all inspections and examinations thereof shall be at <br />AGENCY's sole expense, shall be done in a workmanlike manner in accordance with applicable <br />laws, and shall not disturb occupants or adjoining landowners. Subject to its obligations set forth <br />in this Section, AGENCY shall be permitted to perform such investigations as are reasonably <br />necessary to determine the environmental or soils condition of the Property or the structural <br />condition of the improvements thereon. SELLER shall not unreasonably withhold its consent to <br />any reasonable test or activity pursuant hereto which is requested during the Review Period by <br />the AGENCY. <br /> <br />After each entry onto the Property by AGENCY or AGENCY's Representatives, <br />AGENCY, at its sole expense, shall repair (which shall include replacement) any damage to the <br />Property arising from such entry. Under no circumstances may AGENCY in any way alter, <br />improve or modify any portion of the Property prior to the Close of Escrow, except in connection <br />with an inspection approved by SELLER in accordance with this Section 5.4.
