<br />THE SECOND AMENDMENT TO THE DISPOSITION AND DEVELOPMENT <br />AGREEMENT BETWEEN THE REDEVELOPMENT AGENCY OF THE CITY OF SAN <br />LEANDRO AND 1040 DAVIS STREET PARTNERSHIP LLC FOR THE DISPOSITION <br />AND DEVELOPMENT OF THE PROPERTY LOCATED AT 1016, 1040, 1048, AND 1052 <br />DAVIS STREET (APNS: 075-0148-05, 075-0148-06-01, 075-0148-07, 075-0148-08-02) <br /> <br />This Amendment ("Amendment") to the DISPOSITION AND DEVELOPMENT <br />AGREEMENT entered into by and between the CITY OF SAN LEANDRO <br />REDEVELOPMENT AGENCY and 1040 Davis Street Partnership LLC, dated June 7, 2004, as <br />subsequently amended, is made as of this 18th day of July 2005, by and between the CITY OF <br />SAN LEANDRO REDEVELOPMENT AGENCY ("Agency") and 1 040 DAVIS STREET <br />PARTNERSHIP LLC ("Developer"). <br /> <br />RECITALS <br /> <br />A. Agency and Developer (collectively, "Parties") entered into a Disposition and <br />Development Agreement ("DDA") for the development of the Property at 1040 Davis Street, San <br />Leandro ("Site") as a two-building office complex. <br /> <br />B. The Parties subsequently amended the DDA to change the Development Plan to <br />allow one larger building instead of two smaller buildings. <br /> <br />C. The Parties now desire to amend the DDA to change the Development Plan to <br />allow the building to be located at the southwest comer of the Site, demolish the existing <br />building on the site, reconfigure the Site Plan accordingly, and extend the time limits for <br />construction to accommodate the revised Development Plan. <br /> <br />NOW, THEREFORE, in consideration of the foregoing and the mutual covenants and <br />conditions contained in this Agreement, the Parties agree to amend the DDA as follows: <br /> <br />1. Exhibit B is hereby designated as the attached Site PlanlDevelopment Plan. <br /> <br />2. The first sentence of Part One, Section 1.04 (a) is hereby amended to read as follows: <br /> <br />''No later than thirty (30) days following Agency approval of the Second Amendment to <br />this Agreement, Developer shall submit to the Agency Developer's plan for financing the <br />construction of the Improvements (hereinafter "Financing Plan")." <br /> <br />3. Part One, Section 3.01 is hereby amended to read as follows: <br /> <br />"No later than thirty (30) days following Agency approval of the Second Amendment to <br />this Agreement, Developer shall submit to the Agency its Construction Plans for the <br />Improvements. As used herein "Construction Plans" mean all construction documentation upon <br />which the Developer, and Developer's several contractors, shall rely in building the <br />
