<br />direct such employees in the conduct of their duties, but Agency shall have the <br />right at any time to require the Manager to remove from employment at the <br />Project such employees as Agency, in the Agency's reasonable discretion, <br />deems unsatisfactory. If Agency chooses to exercise its removal right, Agency <br />will first provide Manager in writing with its reasons for requiring the employee's <br />removal. The Manager and all personnel of the Manager who handle money will <br />be bonded in favor of Agency by a fidelity bond acceptable to Agency. Manager <br />will be responsible for the timely deposit of all payroll taxes and preparation of all <br />payroll tax returns, and on Agency's request, will provide Agency with <br />satisfactory evidence that payroll tax deposits have been made and payroll tax <br />returns have been filed. Manager will maintain such workers' compensation <br />insurance coverage for Manager's employees as required under applicable law. <br />With respect to the Personnel: <br /> <br />(a) Manager will hire on-site management staff including a property <br />manager, a resident services coordinator, and maintenance and <br />janitorial staff, or such staff as agreed upon by the Manager and <br />Agency <br /> <br />(b) At least one of the property management staff members will live on- <br />site, available on 24-hour call to address resident concerns. <br /> <br />(c) The resident services coordinator will be responsible for <br />coordinating all resident programs and services in conjunction with <br />community based service providers. <br /> <br />(d) Manager shall be responsible for compliance with all applicable <br />employment, nondiscrimination, occupational safety and health and <br />other similar laws and regulations affecting employment of <br />Personnel and compliance with private employment or union <br />contracts, and shall indemnify, defend and hold harmless <br />Indemnitees (defined in Section 8.2) from and against any and all <br />Claims (defined in Section 8.2) arising out of a breach or alleged <br />breach of such laws, regulations, or contracts. Manager will <br />negotiate with any labor union lawfully entitled to represent all or <br />any group of Personnel, provided, however, that Agency shall have <br />the right to approve any collective bargaining agreements or labor <br />contracts resulting therefrom prior to Manager's execution of any <br />such agreement or contract The Agency approval rights are limited <br />to only those provisions that may affect the Business Plan <br /> <br />5.6 Riqhts of Access. Agency and its representatives shall have the <br />right to enter the Project at any reasonable time for purposes of inspecting the <br />same, examining books and records relating to the Project, or for any other purpose <br />which Agency deems advisable. If Agency requires entry to a tenant's unit, Agency <br />will cooperate with the Manager to provide adequate prior written notice to the tenant. <br /> <br />776633-4 Final <br />
