<br />costs, attorney's fees, expenses and liabilities incurred in or about any such claim or action or <br />proceeding brought thereon. In the event any such action or proceeding is brought against <br />Landlord by reason of any such claim, Tenant, upon notice from Landlord, covenants to defend <br />such action or proceeding by counsel reasonably satisfactory to Landlord. If an insurer under <br />insurance required to be maintained by Tenant hereunder shall undertake to defend the Landlord <br />under a reservation of rights with respect to ultimate coverage and Landlord shall reasonably <br />deem it necessary to retain independent counsel with respect to such matter, Tenant shall pay the <br />reasonable fees of such counsel. The obligations of Tenant under this Article 9 shall not apply to <br />any claims or other matters resulting from the breach or default by Landlord under this Lease, or <br />solely from the gross negligence or willful misconduct of Landlord, its agents, employees or <br />consultants and other Indemnitees. <br /> <br />ARTICLE X <br /> <br />DAMAGE AND DESTRUCTION <br /> <br />10.1 Damage or Destruction. In the event of any damage to or destruction of the <br />Improvements during the Term for which insurance coverage is required under this Lease or the <br />DDA, Tenant shall restore and rebuild the Improvements as nearly as possible to their condition <br />immediately prior to such damage or destruction, subject to any restrictions imposed by changes <br />in Applicable Law. Tenant shall commence diligently and continuously to carry out such <br />rebuilding to full completion as soon as possible. Unless Lessor agrees otherwise in writing, <br />Tenant shall commence reconstruction of the Improvements within sixty (60) days following the <br />date upon which insurance proceeds are made available for such work. Upon the occurrence of <br />damage or destruction, all insurance proceeds paid in respect of such damage or destruction shall <br />be applied to the payment of the costs of the restoration and rebuilding required to be performed <br />by Tenant pursuant to this Lease. The insurance proceeds shall be held in trust by a financial <br />institution agreed upon by Landlord and Tenant (the "Insurance Trustee"), with the costs of <br />such trust to be a first charge against the insurance proceeds. After the completion of the <br />restoration and rebuilding of the Improvements, any remaining insurance proceeds shall be paid <br />to Tenant and Tenant shall be entitled to retain the same. <br /> <br />10.2 Rebuilding by Tenant. The funds held by the Insurance Trustee shall be held in <br />trust and shall be applied to the cost of rebuilding. Any funds held by the Insurance Trustee <br />following final completion of rebuilding and payment of all costs and expenses thereof and <br />removal of any liens related thereto, shall be paid to Tenant. <br /> <br />10.3 Disbursement of Funds. The Insurance Trustee shall disburse funds only on a <br />periodic basis approved by Landlord and Tenant and only upon receipt of invoices and other <br />documentation, certified as correct by Tenant's architect, if an architect is required for the repair, <br />evidencing satisfactory completion of the work for which payment is requested (a "Payment <br />Request"). Further, the Insurance Trustee shall not disburse any funds unless the payment <br />request is accompanied by (a) an executed conditional lien release in form complying with <br />California law relating to all labor and materials described in the Payment Request and (b) an <br />executed final lien release in form complying with California law releasing all claims for labor <br />and materials described in the immediately preceding Payment Request. <br /> <br />833368-4 <br /> <br />16 <br />
