<br />15.2 During the term of this Agreement, neither the CONTRACTOR, officers, agents,
<br />key personnel, or employees shall compete with the COUNTY for the same
<br />emergency ambulance services contracted for in any other area of the COUNTY.
<br />
<br />SECTION 16 -INSURANCE AND INDEMNIFICATION
<br />
<br />16.1 CONTRACTOR shall at all times during the term of the Agreement maintain in
<br />force those insurance policies and bonds as designated in Exhibit C and will
<br />comply with all requirements thereof.
<br />
<br />16.2 CONTRACTOR agrees to defend, to indemnify, to save and hold harmless the
<br />County of Alameda, its officers, employees, and agents from any and all acts,
<br />claims, omissions, liabilities, and losses by whomever asserted arising out of acts
<br />or omissions of CONTRACTOR in the performance of the scope of work except
<br />those arising by reason of the sole negligence of COUNTY, its officers,
<br />employees, or agents.

<br />16.3 The COUNTY agrees to defend, indemnify, and hold harmless CONTRACTOR,
<br />its officers, employees, and agents, from any and all acts, claims, omissions,
<br />liabilities, and losses by whomever asserted arising out of acts or omissions of
<br />COUNTY in the performance of the scope of work except those arising by reason
<br />of the sole negligence of CONTRACTOR, its officers, employees, or agents.
<br />
<br />SECTION 17 - ASSIGNMENT NOT ALLOWED
<br />
<br />17.1 CONTRACTOR shall not assign this Agreement to a third party without written
<br />consent of the COUNTY; nor shall CONTRACTOR assign any monies due from
<br />COUNTY under this Agreement to any third party without written consent of the
<br />COUNTY.
<br />
<br />SECTION 18 - INDEPENDENT CONTRACTOR
<br />
<br />18.1 This Agreement is an agreement by and between two public agencies and is not
<br />intended, and shall not be construed, to create the relationship of agency,
<br />servant, employee, partnership, joint venture, or association.
<br />
<br />18.2 COUNTY shall not be considered the employer of CONTRACTOR'S employees
<br />for any purpose, and CONTRACTOR holds harmless COUNTY to that extent.
<br />
<br />SECTION 19 - COMPLIANCE WITH LAW AND SAFETY
<br />
<br />19.1 CONTRACTOR shall observe and comply with all applicable laws, ordinances,
<br />codes, and regulations of governmental agencies, including federal, state,
<br />municipal, and local governing bodies, having jurisdiction over the scope of
<br />services or any part hereof, including the provisions of the Occupational Safety
<br />and Health Act of 1979 and all amendments thereto, and all applicable federal,
