Any such notice not so given shall be deemed <br />given upon actual receipt of the same by the party to whom the same is to be given. Notices may <br />be given by facsimile transmission and shall be deemed given upon the actual receipt of the same <br />by the individual to which they are addressed, and shall be promptly followed by a hard copy <br />notice by mail as provided above. <br />17. GOVERNING LAW. This Agreement shall be construed in accordance with the laws <br />of the State of California, except for those provisions preempted by federal law. <br />18. ATTORNEYS' FEES. In the event that either party commences litigation to enforce the <br />terms of this Agreement, the prevailing party in such litigation shall be entitled to recover its <br />costs and fees incurred in such action, including reasonable attorneys' fees and expenses. <br />19. COUNTERPARTS.
