proposed circulation and the location of open space (the "Preliminary Project Plan") to establish <br />the terms of a sale, exchange or ground lease for the East Parking Lot. <br />(h) Within thirty (30) days of the Developer's submittal of the <br />Preliminary Project Plan, BART shall submit its written comments to the Developer on the <br />content of the plans. <br />(i) Within one hundred eighty days (180) days of the Effective Date, <br />the Developer, in anticipation of submitting an application for approval by the City, shall prepare <br />the following information to be used as a project description in preparing any additional <br />environmental review required by the California Environmental Quality Act in connection with <br />the permits contemplated by this Agreement of development of the Property: <br />(i) schematic designs including site plans, site sections, <br />exterior elevations, building massing and proposed circulation to the extent necessary to be <br />analyzed in the environmental review; <br />(ii) a list of all public improvements, if any, presently <br />anticipated or required for the project; and <br />(iii) interim replacement parking strategies for existing on-site <br />BART parking spaces during project construction. <br />(j) Within two hundred forty days (240) days after the Effective Date, <br />Developer, shall provide to BART a draft report of the impacts, if any, of the project that were <br />not addressed in the City's environmental impact report on the "Downtown San Leandro Transit- <br />Oriented Development Strategy" (the "City's Environmental Impact Report"). <br />(k) Within two hundred seventy days (270) days after the Effective <br />Date, the Developer shall provide to BART and the City any and all additional information <br />reasonably requested by BART and/or the City to assist in establishing the terms of a sale, <br />exchange or ground lease for some or all of the developable parking areas included on the <br />property owned by BART, should development prove feasible. <br />3.3 BART Project Cost Structure, Phasing and Feasibility. Within ninety <br />(90) days of the completion of the Phase I Environmental Site Assessment, the Developer shall <br />submit to all Parties: <br />(a) If applicable, an MAI appraisal on the Developer Property, which <br />appraisal includes a completed market feasibility study performed by an economic consultant, <br />appraiser or qualified real estate broker (to the reasonable satisfaction of the Developer and <br />BART) that analyzes the market feasibility, achievable rents or sales prices, and estimated <br />absorption schedule of the entire project elements included in the BART project description. <br />(b) If applicable, detailed and itemized project pro formas linked to the <br />schedule for construction, sale or leasing of the BART project. Such pro-formas shall include a <br />BART project development budget, a statement describing the sources and uses of funds <br />including equity contributions, a ten (10) year (or until completion of sales, in the case of a for- <br />SANF1~82607.1 <br />311718-29 6 <br />
