Property Owner shall not permit any liens, encumbrances, or easements to be <br />placed on the Property, other than the Permitted Exceptions, nor shall Property Owner enter into <br />any agreement regarding the sale, rental, management, repair, improvement, or any other matter <br />affecting the Property that would be binding on Agency or the Property after the Close of Escrow <br />without the prior written consent of Agency, and <br />B. Property Owner shall not permit any act of waste or act that would tend to <br />diminish the value of the Property for any reason, except that caused by ordinary wear and tear. <br />C. Agency shall not permit any liens, encumbrances, or easements to be placed on <br />the Office Condominium, other than title exceptions approved by Property Owner nor shall <br />Agency enter into any agreement regarding the sale, rental, management, repair, improvement, <br />or any other matter affecting the Office Condominium that would be binding on Agency or the <br />Property Owner after the Close of Escrow without the prior written consent of Property Owner, <br />and <br />D. Agency shall not permit any act of waste or act that would tend to diminish the <br />value of the Office Condominium for any reason, except that caused by ordinary wear and tear. <br />Section 14. Sign. <br />A. Upon the Property Owner's move to the Office Condominium, ,the Agency shall, <br />at its sole cost and expense, erect a sign in downtown San Leandro which sign shall notify the <br />public of the Property Owner's relocation to the Chamber Site. <br />Section 15. Authority of Parties. <br />A. Property Owner warrants that this Agreement and all other documents delivered <br />prior to or at the Close of Escrow: <br />(i) have been authorized, executed, and delivered by Property Owner; <br />(ii) are binding obligations of Property Owner; <br />(iii) are collectively sufficient to transfer all of Property Owner's rights to the <br />Property; and <br />(iv) do not violate the provisions of any agreement to which Property Owner is a <br />party or that affects the Property; subject, however, to applicable bankruptcy, <br />insolvency, and other similar laws affecting the enforcement of creditors' <br />rights and to principles of equitable remedies. <br />B.
