COOPERATION AGREEMENT BETWEEN <br />THE REDEVELOPMENT AGENCY OF THE CITY OF SAN LEANDRO AND THE <br />CITY OF SAN LEANDRO FOR COOPERATION IN PERFORMANCE OF <br />REDEVELOPMENT ACTIVITIES WITHIN THE ALAMEDA COUNTY- <br />CITY OF SAN LEANDRO REDEVELOPMENT PROJECT AREA <br />FOR THE SAN LEANDRO SENIOR COMMUNITY CENTER <br />This COOPERATION AGREEMENT (this "Agreement") is made and is effective this <br />28th day of July, 2008, by and between the Redevelopment Agency of the City of San Leandro, a <br />public body corporate and politic (the "Agency") and the City of San Leandro, California a <br />municipal corporation and public body corporate and politic (the "City"). <br />RECITALS <br />WHEREAS, the Agency is a redevelopment agency existing pursuant to the Community <br />Redevelopment Law, California Health and Safety Code Section 33000, et seq. Pursuant to its <br />authority under California law, the Agency has the responsibility to carry out the Redevelopment <br />Plan for the Alameda County-City of San Leandro (Joint) Project Area (the "Redevelopment <br />Plan"). <br />WHEREAS, Section 33220(a) of the Health and Safety Code provides that, for the <br />purpose of aiding and cooperating in the Redevelopment Plan, the City, upon the terms and with <br />or without consideration as it determines, may aid and assist the Agency with redevelopment <br />projects by entering into an agreement with the Agency. <br />WHEREAS, both the Agency and the City desire to undergo revitalization efforts within <br />the Alameda County-City of San Leandro Redevelopment Project Area (the "Project Area"). <br />To this end, the Agency and City desire to cooperate with regard to the design and construction <br />of the San Leandro Senior Community Center (the "Project"). <br />NOW, THEREFORE, in consideration of the mutual promises set out above, the <br />Agency and the City agree as follows: <br />AGREEMENT <br />Section 1. Cooperation Agreement. The Agency and the City will cooperate in the <br />performance of the design and construction of the Project. <br />Section 2. Payment by Agency for City Services. To facilitate the design and <br />construction of the Project, the Agency shall pay for the costs incurred related to the design and <br />construction of the Project at a cost not to exceed THIRTEEN MILLION AND NO/100 <br />DOLLARS ($13,000,000.00).
