Agency and Mercy Housing California XXXIII, a California Limited Partnership <br />(the "Developer") entered into that certain Disposition and Development Agreement (the <br />"DDA") dated as of June 19, 2006 concerning the redevelopment of certain real property located <br />in the City of San Leandro, California and more fully described in Exhibit A attached hereto (the <br />"Property") and that certain Ground Lease dated as of February 1, 2007 (the "Ground Lease"). <br />A Memorandum of the Ground Lease was recorded in the Official Records of Alameda County <br />as Instrument No. 2007072352 on February 15, 2007. <br />B. Pursuant to Section 5.12 of the DDA, the Agency is required to furnish the <br />Developer or its successors with a Certificate of Completion upon completion of renovation of <br />the improvements located on the Property (the "Improvements") in accordance with the DDA <br />and the issuance by the City of San Leandro of a Certificate of Occupancy (Exhibit B) for the <br />Improvements. <br />C. The Agency has determined that renovation of the Improvements has been <br />satisfactorily completed in accordance with the DDA. <br />NOW, THEREFORE, Agency hereby certifies as follows: <br />1. The Project and the Improvements have been satisfactorily completed in <br />conformance with the DDA. <br />2. All use, maintenance and nondiscrimination covenants contained in the DDA and <br />the Ground Lease shall remain in effect and enforceable in accordance with the DDA and the <br />Ground Lease. This Certificate does not constitute evidence of Developer's compliance with <br />those covenants in the DDA that survive the issuance of this Certificate, including without <br />limitation, compliance with the Regulatory Agreement entered into pursuant to the DDA. <br />This Certificate does not constitute evidence of compliance with or satisfaction of <br />any obligation of Developer to any holder of a deed of trust securing money loaned to finance <br />803793-2 <br />
