CERTIFICATE OF COMPLETION This Certificate of Completion (the "Certificate") is made by the Redevelopment Agency of the City of San Leandro, a public agency (the "Agency") effective as of Au u'g st 4, 2008. RECITALS A. Agency and Mercy Housing California XXXIII, a California Limited Partnership (the "Developer") entered into that certain Disposition and Development Agreement (the "DDA") dated as of June 19, 2006 concerning the redevelopment of certain real property located in the City of San Leandro, California and more fully described in Exhibit A attached hereto (the "Property") and that certain Ground Lease dated as of February 1, 2007 (the "Ground Lease"). A Memorandum of the Ground Lease was recorded in the Official Records of Alameda County as Instrument No. 2007072352 on February 15, 2007. B. Pursuant to Section 5.12 of the DDA, the Agency is required to furnish the Developer or its successors with a Certificate of Completion upon completion of renovation of the improvements located on the Property (the "Improvements") in accordance with the DDA and the issuance by the City of San Leandro of a Certificate of Occupancy (Exhibit B) for the Improvements. C. The Agency has determined that renovation of the Improvements has been satisfactorily completed in accordance with the DDA. NOW, THEREFORE, Agency hereby certifies as follows: 1. The Project and the Improvements have been satisfactorily completed in conformance with the DDA. 2. All use, maintenance and nondiscrimination covenants contained in the DDA and the Ground Lease shall remain in effect and enforceable in accordance with the DDA and the Ground Lease. This Certificate does not constitute evidence of Developer's compliance with those covenants in the DDA that survive the issuance of this Certificate, including without limitation, compliance with the Regulatory Agreement entered into pursuant to the DDA. This Certificate does not constitute evidence of compliance with or satisfaction of any obligation of Developer to any holder of a deed of trust securing money loaned to finance 803793-2
