MEMORANDUM OF UNDERSTANDING BETWEEN THE <br />SAN LEANDRO AUTO MALL DEALERS ASSOCIATION <br />AND THE REDEVELOPNTENT AGENCY OF THE <br />CITY OF SAN LEANDRO <br />This Memorandum of Understanding is made and entered into as of ~ cz , <br />2004, by and between the San Leandro Auto Mall Dealers Association (SL A), a California <br />non-profit mutual benefit corporation, and the Redevelopment Agency of the City of San Leandro <br />("Agency"). <br />RECITALS <br />A. The economic growth of the Marina Boulevard Auto Mall, within the Alameda <br />County-City of San Leandro (Joint) Redevelopment Project Area, is a priority of the City of San <br />Leandro and the San Leandro Redevelopment Agency ("Agency"). <br />B. SLAMDA is a mutual benefit corporation incorporated in the State of California on <br />March 21, 2003, by new automobile dealers with facilities on the Marina Boulevard Auto Mall, for <br />purposes of collective marketing. <br />C. SLAMDA has designed a directory sign ("Sign A") which rt will install in the Marina <br />Boulevard median, listing all the new vehicle dealerships on the Marina Boulevard Auto Mall. <br />SLAMDA has also commissioned a redesign of the sign panel ("Sign B") identifying the Marina <br />Boulevard Auto Mall which it will install on the Auto Mall Reader Board on Redevelopment Agency <br />property adjacent to I-880. <br />D. The new signs will further the goals of the Joint Redevelopment Project Area and the <br />Implementation Plan for the Joint Project Area by marketing of the dealerships within the Joint <br />Project Area, intending to improve their sales, thereby benefiting the Agency and the City of San <br />Leandro. <br />NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL AGREEMENTS <br />HEREIN CONTAINED, THE PARTIES HERETO AGREE AS FOLLOWS: <br />SECTION 1. SLAMDA. SLAMDA is a nonprofit mutual benefit corporation organized under the <br />California Mutual Benefit Corporation Law. Any change in the status of this corporation requires <br />Agency approval as it relates to SLAMDA's obligations under this MOU. David Adragna is the <br />president of SLAMDA and has been authorized by its members to enter into this MOU with the <br />Agency on SLAMDA's behalf. <br />SECTION 2. The Signs. SLAMDA shall install, construct and maintain the aforementioned Signs <br />A and B. Sign A shall consist of a 14-foot high, 8-foot wide aluminum non-illuminated monument <br />sign, with 16 panels for dealerships, in accordance with the design attached as Exhibit 1 to this <br />MOU. Sign B shall consist of a 10-foot, 8-inch wide square to be installed on the existing Auto Mall <br />Reader Board on Agency property located adjacent to the I-880 freeway as shown on the attached <br />
