GENERAL PARTNERSffiP AGREEMENT <br />DATED January 15`h, 2004 <br />1040 DAVIS STREET PARTNERSHIP, LLC <br />Claire McNely Koenig, Roy Dean Koenig, Daniel E. McNely, and Maribelle D. <br />McNely, all of Alameda County California, voluntarily associate themselves together as <br />General Partners this 15`~ day of January 2004, pursuant to the terms and conditions set <br />forth below. <br />1. TYPE OF BUSINESS: <br />The purposes of the Partnership are to purchase and develop that certain real <br />property located at 1016-1052 Davis Street in San Leandro, California; to develop <br />commercial office space; to borrow money and issue evidence of indebtedness in <br />connection with said project; to rent space in the facility; and to do all things incidental to <br />or in furtherance of those enumerated purposes. <br />2. NAME OF PARTNERSHIP: <br />The name of the Partnership shall be 1040 Davis Street Partnership, LLC. <br />3. TERM OF PARTNERSHIP: <br />The Partnership began on the 15`~ day of January 2004, and shall continue until <br />terminated as herein provided. <br />4. PLACE OF BUSINESS: <br />The principal place of business of the Partnership shall be at 2081 Adams Avenue, <br />San Leandro, Alameda County, California, or at such other place or places as may from <br />time to time be agreed on by a majority of the Partners. <br />5. PROFITS AND LOSSE5: <br />The Partners agree that the Partnership's profits and losses shall be shared among <br />the Partners as follows: <br />NAME <br />PERCENTAGE <br />Daniel E.
