The purpose of this Memorandum is to provide notice of the existence of the Lease <br />which is incorporated herein by reference. <br />2. Lessor is the owner of fee title to the land located in the City of San Leandro, County <br />of Alameda, State of California known as Alameda County Assessor's Parcel No. 075-0001-009-02 <br />located at 262 Davis Street and more particularly described in Exhibit A attached hereto (the <br />"Property"). <br />3. For good and valuable consideration, Lessor has leased to Agency, and Agency has <br />leased from Lessor, the Property and the improvements located thereon (the "Improvements") upon <br />and subject to all of the terms and conditions set forth in the Lease. <br />4. The term of the Lease ("Term") commences on October 1, 2008 (the <br />"Commencement Date"), and unless sooner terminated or extended pursuant to the terms and <br />conditions of the Lease, the Term expires on the third (3`d) anniversary of the Commencement Date. <br />The Agency has an option to extend the Term far an additional two (2) years. <br />5. The Lease provides that the Agency has an option to purchase the Property upon the <br />occurrence of specified events as more particularly set forth in the Lease. <br />6. Copies of the unrecorded Lease are available at the offices of the Agency, 835 East <br />14~` Street, San Leandro, California, and such document is incorporated by reference in its entirety in <br />this Memorandum. In the event of any inconsistency between this Memorandum and the Lease, the <br />Lease shall control. <br />7. This Memorandum may be executed in counterparts, each of which shall be an <br />original, and alI of which together shall constitute one instrument. <br />1137220-4 <br />
