shall give notice in writing to the City of any change in said <br />address, then and in such event such notice shall be given to <br />Lessee at such substituted address. Any notice permitted or <br />required to be served upon the City may be served upon it at 835 <br />East 14th Street, City Hall, San Leandro, California, provided, <br />however, that if the City shall give notice in writing to Lessee <br />of any change in said address, then and in such event such notice <br />shall be given to the City at such substituted address. <br />26. CONFLICT OF INTEREST. <br />Lessee warrants and covenants that no official or <br />employee of City or any business entity in which an official or <br />employee of City is interested: <br />a. Has been employed or retained to solicit aid <br />in the procuring of this lease; <br />b. Will knowingly be employed in the performance <br />of this contract without the immediate divulgence of such <br />fact to City. <br />In the event City determines that such employment <br />of such official, employee or business entity is not compatible <br />with such official's or employee's duties as an official or <br />employee of City, Lessee upon request of City shall terminate <br />such employment immediately. <br />For knowing breach or violation of this paragraph, <br />City shall have the right both to annul this lease without <br />liability and in its discretion to recover the full amount of <br />such compensation paid to such official or business entity. <br />27. RIGHT OF FIRST REFUSAL TO PURCHASE. <br />Tf during the term of this lease City shall <br />receive a bona fide offer to purchase the demised premises which <br />City desires to accept, City shall notify Lessee in writing of <br />such bona fide offer stating the price and other terms. Lessee <br />shall have sixty {60} days following the mailing of this written <br />notice within which to notify City in writing as to whether <br />Lessee desires to purchase the demised premises at the same price <br />and on the same terms as contained in the offer received by City. <br />Any neglect or failure on the part of Lessee to <br />respond to City's notice of the bona fide offer shall be <br />conclusively deemed to be an election not to purchase the demised <br />premises. If Lessee elects to purchase the demised premises, <br />City shall convey these premises to Lessee for the price and on <br />the terms contained in the bona fide offer. If Lessee elects <br />either directly or indirectly not to purchase the demised <br />premises in accordance with the terms and conditions of the bona <br />March 14, 1941 <br />cs l\agree\s lt~c. lse 14 <br />
