Agency and Alameda Housing Associates, L.P., a California limited <br />partnership ("Owner") entered into that certain Owner Participation and Loan <br />Agreement (the "OPA") dated as of , 2009 concerning the <br />redevelopment of certain real property located in the City of San Leandro, California and <br />more particularly described in Exhibit A attached hereto (the "Property"). A <br />Memorandum of the OPA was recorded in the Official Records of Alameda County <br />("Official Records") as Instrument No. ,Book ,Page <br />Capitalized terms used herein without definition shall have the meaning ascribed to <br />such terms in the OPA. <br />6. Pursuant to Section 3.15 of the OPA, the Agency is required to furnish the <br />Owner or its successors with a Certificate of Completion upon completion of <br />development of the Project in accordance with the OPA. <br />C. The Agency has determined that the development of the Project has been <br />satisfactorily completed in accordance with the OPA. <br />NOW, THEREFORE, Agency hereby certifies as follows: <br />1. Development of the Project has been satisfactorily completed in <br />conformance with the OPA. <br />2. All use, maintenance and nondiscrimination covenants contained in the <br />OPA shall remain in effect and enforceable in accordance with the OPA. This <br />Certificate does not constitute evidence of Owner's compliance with those covenants in <br />the OPA that survive the issuance of this Certificate, including without limitation, <br />compliance with the Affordable Housing Regulatory Agreement and Declaration of <br />Restrictive Covenants entered into pursuant to the OPA and recorded in the Official <br />Records as Instrument No. Book ,Page <br />118035]-2 <br />
