Loan"). The combined term of the First Permitted Loan and any extension or <br />renewal thereof shall not exceed ten (10) years, and in any event shall not mature <br />later than the end of the 1 lth year of the Term. In addition, Tenant shall have <br />the right, at any time and from time to time during the Lease Term, to encumber <br />the leasehold estate created by this Lease by a second Leasehold Deed of Trust <br />securing a loan in an amount not greater than One Million Two Hundred Fifty <br />Thousand Dollars ($1,250,000.00), the proceeds of which must be applied to <br />operation of automobile dealerships owned by Tenant and located within the San <br />Leandro Autornall (the "Second Permitted Loan"). The combined term of the <br />Second Permitted Loan and any extension or renewal thereof shall not exceed <br />fifteen (15) years, and in any event shall not mature later than the end of the 35th <br />year of the Term. <br />2. Section 9.6.5. is hereby added to read in its entirety as follows: <br />9.6.5. First and Second Permitted Loans. Tenant's encumbrance of the leasehold estate <br />pursuant to Section 8.1. <br />3. All other provisions of the Ground Lease shall remain unchanged and in full force and <br />effect. <br />4. The Parties agree to execute and record in the Official Records a Memorandum of Lease <br />with respect to this Fourth Amendment. <br />5.
