Exhibit B <br />To Second Amendment to City and Ag_ency Loan Documents <br />HUD-REQUIRED PROVISIONS RIDER <br />For value received, the undersigned acknowledge and agree that the following <br />provisions are hereby incorporated into and made a part of the following documents as <br />amended (collectively referred to as the "City and Agency Loan Documents") relating to <br />that certain real property more particularly described in the City and Agency Loan <br />documents (the "Property") and commonly known as Estabrook Senior Housing (the <br />"Project"): That certain Owner Participation and Loan Agreement dated September 10, <br />2007, as amended (the "OPA") and memorandum thereof recorded September 18, 2007 <br />as series no. 2007334383 of Alameda County, as amended, by the Redevelopment <br />Agency of the City of San Leandro (the "Agency") and the City of San Leandro (the <br />"City") and Estabrook Senior Housing, L.P., a California limited partnership, its <br />successors and assigns (the "Borrower"); that Affordable Housing Regulatory Agreement <br />recorded September 18, 2007 as series no. 2007334384, as amended (the "City and <br />Agency Regulatory Agreement"); that Promissory Note dated as of September 10, 2007, <br />as amended and restated (the "Amended and Restated City Note"), secured by that certain <br />Deed of Trust recorded September 18, 2007 as series no. 2007334385, as amended (the <br />"City Deed of Trust"); that Promissory Note dated as of September 10, 2007, as amended <br />and restated (the "Amended and Restated Agency Note"), secured by that certain Deed of <br />Trust recorded September 18, 2007 as series no. 2007334387, as amended (the "Agency <br />Deed of Trust"); and that certain Intercreditor Agreement recorded March 6, 2009 as <br />series no. 2009067184. <br />In the event of any conflict, inconsistency or ambiguity between the provisions <br />of this Rider and the provisions of the City and Agency Moan Documents, the <br />provisions of this Rider shall control. All initially capitalized teens used but not <br />otherwise defined herein shall have the meaning given to such terms in the City and <br />Agency Loan Documents. As used in this fZider, the term "H[JD Loan Documents" <br />shall mean the following documents i°elating to the HUD Section 202 Capital Advance <br />for the Project (HUD Project No. 121-EE203-NP-WAH), which documents shall be <br />executed and recorded, as applicable, as of the closing of the I-ILJD Sectirn1202 <br />Capital Advance Upon Completion (the "HUD Closing"): <br />A. Deed of Trust to be recorded on the. Property Gunong Borrower as <br />tn~stor, North American Title Company as trustee and Eden <br />Development, Inc. as beneficiary, which beneficial interest will be <br />assigmed to F-IUD by collateral assignment at the HUD Closing (the <br />"HUD Deed of Trust"); <br />B. Capital Advance Program Regulatory Agreement to be recorded on the <br />Property ("HUD Regulatory Agreement"); <br />C. Capital Advance Program Use Agreement to be recorded on the Property <br />
