EXHIBIT U NEVV WORLD SYSTEMS CORPORATION NON-DISCLOSURE AND SECURITY AGREEMENT FOR THIRD PARTIES This Agreement, when accepted and executed by Ncw World, grants the undersigned the permission to use and/or have limited access to certain Ncw World Systans" Corporation (New World) proprietary and/or confidential informalion Installed at: Cir of San Leandro Customer Namc Authorized Signature of Customer: Name (Please Print or Type) Tit1c Located at 901 E. 14'x' Street San Leandro, CA 94577 Signature Tn exchange for the permission to use or have access [o New World proprietary and/or confidential information, including without limitation, New World software and/or documentation, the organization and individual whose names appear below, agree to die following: No copies in any form will be made of New World proprietary or confidential information without the expressed wrinen consent of New World's President, including without limitation, the following • Program Libraries, whether source code or object code; • Operating Control Language; • Test or Sample FSlcs; • Program Listings; • Record Layouts; • All written confidential or proprietary information originating from New Wm~ld including without limitation, documentation, such as user manuals and/or system manuals; and/or • All New World Product Bulletins and/or other Ncw World Product related materials. 2. New World software, New World documentation, or other propriclmy or confidential informalion shall not be used for any purpose other than processing the records of the Customer identified about as permitted in the Customer's Slundm~d Sojlware License and Services Agreement with New World. 3. The undersigned agree(s) that this Agreement may be enforced by injunction in addition to any other appropriate remedies available to New World. If it is determined that the money damages caused by the undersigned's failure to comply with the Foregoing terms are difficult to ascertain, they arc hereby estimated at liquidated damages of no Tess than three times the then-current Liccnsc Fecs for the Liccnsc Software provided to Customer under the Standard Sofln~are License and Service Agreemen! between Customer and New World.
