(c) This Agreement, terms and conditions on the ICOMMM website, and all Attachment As, when <br />executed, shall comprise the exclusive statement of Agreement between Customer and Provider, and shall <br />supersede all preceding agreements and proposals, whether oral or written. <br />(d) Neither Provider nor its suppliers shall be responsible for delays or performance failures caused from <br />acts beyond their reasonable control. <br />(e) The Agreement, all intellectual property issues, and rights and obligations shall be governed by the <br />laws of the United States of America and the State of California governing contracts wholly entered into <br />and which are intended to be wholly performed within the State of California, and shall be subject to the <br />exclusive jurisdiction of the courts located in the State of California. <br />(f) Terms and conditions of the Agreement are severable.
