Joint Powers Agreement — City of Fremont and City of San Leandro <br />Animal Shelter Services <br />PCi 6of6 <br />EYJIIBTT "C" <br />LICENSE AGREEMENT TO USE PROPERTY <br />San Leandro's use of the equipment and space at the Shelter as described in the Scope of <br />Servk-es section 2 shall be subject to the following terms and conditions (hereinafter "License') <br />in addition to any other conditions set forth in an Implementing Agreement. <br />I . As used in this Exhibit: <br />1.1. "Premises" means the Shelter, not.including the private offices, and as further defined in <br />the Implementing Agreement. <br />1.2. "Permittee" means San Leandro. <br />1.3. "City" means Fremont. <br />2. Permittee's rights under this License shall be a revocable non:exclusive right for Sate <br />Leandro Animal Control Officers, Community Service Officers, and Police Officers to use <br />th..- Premises ("as is"), for the sole purpose identified in Scope of Services section 1.3.1, <br />3. The City's permission to Permittee to. use the Premises in accordance with this License shall <br />not create any right, title, or interest in the Premises. Permittee's rights under this Agreement <br />shall be subordinate to the rights of the City to use the Premises for. any legitimate public; <br />purpose. <br />.4. Tris License may be terminated by the City without cause upon fifteen (15) days written <br />notice to the Permittee. A termination of the License shall not operate to terminate the: <br />5. In defermining the Permittee's rights and responsibilities under this License, the Permittee: <br />shall take direction'from the City's Authorized Representatives: the City Manager, the Chief <br />of Police, the Animal Services Superintendent, and any of their authorized designees. <br />6. The Permtte's rights to use Premises in accordance with this License shah be subject to any <br />other property rights field by other parties. The City.. makes no representation or guaranty -to <br />the; Permittee regarding the extent of the City's property interest in the Premises, relative to <br />the, rights of other.parties to use the same Premises, and.relative to the Perrnittee's proposed <br />uses of the Premises. <br />7. The Permittee shall, at its sole cost and expense, repair any damage arising out of Permittee's <br />eiirry on the Premises; and Permittee shall restore the Premises to a condition equal to or <br />beter than the condition which existed prior to Permittee's entry on the Premises.'Pemiittee. <br />shall reimburse the City for any costs incurred to cure a breach of Perrnittee's obligations <br />under this License. <br />
