16. Separability of Provisions. Each provision of this Agreement shall be considered <br />separable and if for any reason any provision or provisions herein are determined to be invalid, <br />unenforceable or illegal under any existing or future law, such invalidity, unenforceability or <br />illegality shall not impair the operation of or affect those portions of this Agreement which are <br />valid, enforceable and legal. <br />17. Entire Agreement- Amendment. This Agreement constitutes the entire <br />agreement with respect to the subject matter hereof. This Agreement may not be modified, <br />altered, supplemented or amended except pursuant to a written agreement executed and <br />delivered by the Member. <br />18. Governing_Law. This Agreement shall be governed by, and construed under, the <br />laws of the State of California (without regard to conflict of laws principles), all rights and <br />remedies being governed by said laws. Jurisdiction and venue for any action to interpret or <br />enforce this Agreement or any provision hereof, or with respect to any action involving the <br />subject matter hereof, regardless of the legal theory upon which such action is based, shall be in <br />the Superior Court or U.S. District Court sitting in the County of Alameda, State of California <br />as if this contract were made and entered and all obligations to be performed in the State of <br />California by residents thereof. <br />1N WITNESS WHEREOF, the undersigned, being the sole Member and sole Manager <br />of the Company, have executed this Agreement as of the date first set forth above. <br />BY THE SOLE MEMBER .AND SOLE MANAGER: <br />LANGON HOMES, LLC, <br />a California limited liability company <br />~~ <br />By: <br />David J.
