8. The inspection of the Project will be by a mutually agreed upon independent <br />inspection firm overseen by San Leandro, with additional inspection support to be <br />provided by each Party for portions of the Project that are in their respective <br />jurisdictions. Each of the Parties shall have access to any inspection reports <br />produced by the inspection firm. All communications related to the supplemental <br />inspections shall be presented to the San Leandro Project Administrator for <br />implementation. <br />9. San Leandro will act as the lead agency for the Project. The Parties shall have <br />regular meetings throughout the construction of the Project, and each Party will <br />assign staff to participate in all scheduled meetings. Notice of meetings shall be <br />provided at least ten working days in advance of the meetings. Matters of an <br />urgency or emergency shall be conducted outside of the regular meetings by way <br />of conference calls with written follow up to all parties. <br />10. The Parties agree to cooperate in establishing a schedule for completion of the <br />Project, and each Party will thereafter be required to act in accordance with that <br />schedule. The schedule may thereafter be modified with the written consent of all <br />the Parties. Parties acknowledge that time is of the essence in regards to all <br />matters impacting the construction schedule. Modifications to schedule shall not <br />be made that impact the construction schedule, once the contract has been <br />awarded. <br />11. Each Party agrees to provide maintenance of Project improvements constructed <br />hereunder as delineated by the areas specified in Exhibit A. Improvements shall <br />be kept in good working order, free of graffiti and litter The landscaping shall be <br />maintained pest, weed, and disease free in accordance with sound horticultural <br />practices. Trees shall be maintained in accordance with standards established by <br />the International Society of Arborculture. <br />12. Port shall coordinate with Galbraith Golf Course concessionaires to ensure <br />coordination of plan approval, work schedule and construction, so as to avoid <br />conflicts and achieve efficiencies with the construction of the Project. <br />Local Preference Programs <br />13. As used herein, "Local Preference Program" refers to the City of Oakland Small <br />and Local Business Enterprise Program and Local Employment Program. <br />14. Local Preference Programs shall apply to the award of Project construction <br />contracts and the employment of workers on Project construction. San Leandro <br />and Oakland shall each be responsible for and bear its own costs in determining <br />whether a bidder qualifies for a preference under their respective programs, and <br />whether a contractor is complying with employment requirements. <br />Page 4 of 8 <br />
