This GFA shall be discontinued if: <br />(a) there is a mutual written agreement between the Company and the GFA Owner; or there <br />has been a breach of this GFA by the Company; and or the GFA Owner gives written <br />notice to the Company that the GFA is being discontinued, in which event the Date of <br />Discontinuance shall be the later o£: {i) the first business day following the date on which <br />such notice is received by the Company at its Home Office in Hartford, Connecticut, or <br />(ii) the business day specified in such notice; or <br />(b) no Contributions are made to the GFA with respect to a GFA Year and the Compaq <br />gives written notice to the GFA Owner that the Date of Discontinuance will occur as of <br />the date sgecafied in such notice, such date not to be earlier than thirty (30) days after the <br />date such notice is mailed by the Compaq; or <br />(c) the GFA will be discontinued on the last day of the month specified in a Written Notice <br />from the Company to the GFA Owner that no fiuther Contributions will be accepted by <br />the Compaq which notice maybe given at the option of the Company if the Plan fatis to <br />meet the requirements for qualification under section 401 of the Code or, if applicable, an <br />"eligible deferred compensation plan" under section 457 of the Code; ar <br />(d) the GFA Owner fails to make any report or provide the Compaq wi$i any information <br />otherwise required by Ibis GFA, and does not remedy such failure wi$un 45 days from <br />the date the Comgazry notifies the GFA Owner thereof; or <br />(e) the GFA Owner breaches the terms of Sections 2 or 5 of the GFA and the Company <br />notifies the GFA Owner in writing of such breach. . <br />HL-16553 20 <br />
