License Ordinance up to an including a comprehensive review of r,~x alternatives. <br />TIMING AND REPORTS <br />MMC shall commence project planning within 10 working days following authorization. Annually, <br />MMC shall provide CITY with a report summarizing service progress to date. IVIMC shall deliver <br />the initial set of the BLT Service reports within ninety (90) days following authorization and receipt <br />of data necessary to conduct the work. <br />COMPENSATION <br />Discovery Services <br />MMC's Compensation for providing Discovery Services shall be a contingency tee of 45% of the <br />additional revenue realized by CITY from the services. 'The 45% shall apply to the current tax year, <br />all eligible prior period revenues, and any applicable penalties, interest, and late charges. The <br />contingency fee only applies to revenue actually received by CITY. The term "current tax year" <br />shall mean the most recent tax year for which business license taxes are due and payable to the City, <br />as of the date of the audit. <br />Audit Services <br />MMC will execute its Business License Audit Program for City for a contingency fee of 45% of <br />additional revenue generated by the program with a minimum fee payable upon completion of each <br />individual audit The 45°/u contingency fee will apply to revenue received by the City as a result of <br />deficiencies identified in the review and shall include any elib ble prior period revenues together <br />with all applicable penalties, interest and late charges. The contingency fee shall not apply until <br />such time as the contingency fee, based on revenue received by the City, equals the minimum fee, <br />and City shall only be responsible for that increment of the contingency fee in excess of the <br />minimum fee. City agrees to use reasonable and diligent efforts to collect deficiencies identified by <br />MMC. MMC shall invoice City quarterly based on revenue received by City from identified <br />deficiency amounts. <br />Ordinance Service <br />MMC shall provide the specified Ordinance Service for an hourly fee of one hundred fifty dollars <br />($150) with a Not To Exceed amount of five thousand dollars ($5,000). The Hourly hee shall be <br />invoiced monthly and shall be payable in accordance with the Agreement MMC shall not be <br />required to perform, nor the CITY to pay for, services in excess of the Not To Exceed amount. <br />MMC will not undertake to perform services that will result in hourly fees in excess of the Not To <br />Exceed amount unless MMC receive prior written authorization from CITY to proceed. <br />CITY OBLIGATIONS <br />CITY agrees to provide an electronic copy of CITY's License Registration File and License <br />Payment History file to MMC, together with any other information necessary for MMC to compute <br />MMC's billing for services, in electronic format, to MMC on no less than a quarterly basis during <br />the term of the Agreement and thereafter for so long as MMC's right to invoice for services <br />rendered continues. CITY agrees to use reasonable and diligent efforts to collect, or to assist MMC <br />in the collection of, deficiencies identified by MMC pursuant to this Agreement.
