AMENDMENT NO. 1 <br />THIS AMENDMENT NO. 1 (Amendment) is to that Consultant Services Agreement between MBIA <br />MuniServices Company (MMC) and the City of San Leandro, CA (City), said agreement dated September 8, <br />1992 (Agreement). <br />WHEREAS the Agreement between the City and MMC includes, among other services, a brief description of <br />MMC's Property Tax Audit service (PTX); and <br />WHEREAS the City and MMC wish to continue having MMC provide the PTX service but wish to update the <br />scope of services to more clearly state the services to be provided and the compensation. <br />THEREFORE the parties agree as follows: <br />1. The Property Tax Addendum, attached hereto as Exhibit A, is added to and made part of the September <br />8, 1992 Agreement. <br />2. Any reference to Property Tax Audit Services in the September 8, 1992 Agreement are hereby deleted. <br />3. It is expressly stated and understood by the parties that this Amendment constitutes a change in <br />formality and not a cancellation of an existing service or initiation of a new service. The services <br />provided by MMC to the City pursuant to Exhibit A attached hereto constitute a continuation of the <br />services previously provided by MMC to the City pursuant to the Agreement. To the extent that any <br />terms or conditions of Exhibit A are inconsistent with the terms or conditions of the September 8, 1992 <br />agreement, Exhibit A shall control. <br />4.
