Deed. This date shall be no later than three (3) days from date this Agreement is <br />entered into, unless the Close of Escrow is extended pursuant to a written agreement of <br />the parties. <br />C. Costs. Buyer shall pay: <br />a) all of the recording charges in connection with recordation of the <br />Deed; <br />b) the Escrow fee charged by Escrow Agent; and <br />c) all governmental conveyancing fees and taxes due upon sale of the <br />Subject Property. <br />D. Possession. Possession of the Deed shall be delivered to Buyer at the Close <br />of Escrow. <br />Section 8. Seller's Covenants. <br />Commencing with the full execution of this Agreement by both parties and until <br />the Close of Escrow: <br />A. Seller shall not permit any liens, encumbrances, or easements to be placed <br />on the Subject Property, nor shall Seller enter into any agreement regarding the sale, <br />rental, management, repair, improvement, or any other matter affecting the Subject <br />Property after the Close of Escrow without the prior written consent of Buyer. <br />B. Seller shall not permit any act of waste or act that would tend to diminish the <br />value of the Subject Property for any reason, except that caused by ordinary wear and <br />tear. <br />Section 9. Authority of Parties. <br />A. Seller warrants that this Agreement and all other documents delivered prior to <br />or at the Close of Escrow: <br />1. have been authorized, executed, and delivered by Seller; <br />2. are binding obligations of Seller; <br />3. do not violate the provisions of any agreement to which Seller is a <br />party or which affects the Subject Property, e.g. CC&Rs. <br />B.
