3 f IN THE CITY COUNCIL OF THE CITY OF SAN LEANDRO RESOLUTION NO.2002- 5b (1949 ) A RESOLUTION APPROVING THE RENEWAL OF A LICENSE AGREEMENT WITH GSF ENERGY L.L.C RECITALS WHEREAS, by Resolution 85-122, dated June 24, 1985, the City Council approved that certain License Agreement, dated June 25, 1985, between the: City and Getty Synthetic Fuels, Inc., for the purpose of allowing the construction and operation of a sanitary sewer line in the City's right-of--way {"License Agreement"); and WHEREAS, the License Agreement was for a term often (10) years, but the parties to said agreement have continued to perform under said agreement beyond the term stated in said agreement, and have thereby acknowledged their continuing rights and obligations under the License Agreement; and WHEREAS, GSF Energy L.L.C. ("GSF"), the successor-in-interest to Getty Synthetic Fuels, Inc. with respect to the License Agreement, now desires to assign its rights under said agreement to Waste Management of Alameda County, Inc., and has requested the City's consent to the assignment; and WHEREAS, the City and GSF desire to memorialize and ratify their past and current obligations under the License Agreement in the form of a new agreement renewing the License Agreement for an additional ten (10) year term running from 1995 through 2005 ("Renewal Agreement"), a copy of which is attached; and WHEREAS, the City Council has been presented with the Renewal Agreement and is familiar with the contents thereof; and WHEREAS, the City Manager has recommended approval of the Renewal Agreement. NOW, THEREFORE, the City Council of the City of San Leandro does resolve as follows: That the Renewal Agreement is hereby approved and execution thereof by the City Manager is hereby authorized.
