i <br />IN THE CITY COUNCIL OF THE CITY OF SAN LEANDRO <br />RESOLUTION N0.2002- 57 (1949) <br />A RESOLUTION CONSENTING TO THE ASSIGNMENT <br />OF FRANCHISE AND LICENSE AGREEMENTS <br />RECITALS <br />WHEREAS, by Resolution 80-213, dated October 6, 1980, the City Council approved <br />that certain Franchise Agreement of the same date between the City of San Leandro ("City") and <br />Getty Oil Company for the purpose of allowing the construction and operation of a pipeline to <br />transport landfill gas and other hydrocarbon substances in the City's right-of--way ("Franchise <br />Agreement"); and <br />WHEREAS, by Resolution 85-122, dated June 24, 1985, the City Council approved that <br />certain License Agreement, dated June 25, 1985, between the City and Getty Synthetic Fuels, <br />Inc., the successor-in-interest to Getty Oil Company, for the purpose of allowing the construction <br />and operation of a sanitary sewer line in the City'sright-of--way, which sewer line serves the <br />facilities built and operated pursuant to the Franchise Agreement ("License Agreement"); and <br />WHEREAS, GSF Energy L.L.C. ("GSF"), the successor-in-interest to Getty Synthetic <br />Fuels, Inc. with respect to both the Franchise Agreement and the License Agreement, now <br />desires to assign its rights under said agreements to Waste Management of Alameda County, <br />Inc., and has requested the City's consent to the assignment; and <br />and <br />WHEREAS, the City Council has received and considered the request for assignment; <br />WHEREAS, the City Manager has recommended approval of said request. <br />NOW, THEREFORE, the City Council of the City of San Leandro does resolve as <br />follows: <br />That consent to the assignment of said Franchise and License agreements to Waste <br />Management of Alameda County, Inc., is hereby given. <br />Introduced by Council Member Loeffler <br />2002 and passed and adopted by the following called vote: <br />Members of the Council: <br />on this 6th day of May , <br />Ayes: Council Members Badger, Glaze, Crant, Loeffler, Nardine, Santos; <br />Mayor Young ( 7 ) <br />Noes: None <br />( 0 ) <br />
