COOPERATION AGREEMENT BETWEEN THE REDEVELOPMENT AGENCY OF THE CITY OF SAN LEANDRO AND THE CITY OF SAN LEANDRO FOR COOPERATION IN PERFORMANCE OF REDEVELOPMENT ACTIVITIES WITHIN THE PLAZA REDEVELOPMENT PROJECT AREA FOR THE DAVIS/HAYS REPLACEMENT PARKING, PROJECT N0.961-83-077 AND WITHIN THE ALAMEDA COUNTY- CITY OF SAN LEANDRO REDEVELOPMENT PROJECT AREA FOR THE ALBERTSONS REPLACEMENT PARKING, PROJECT N0.962-86-070 This COOPERATION AGREEMENT (this "Agreement") is made and is effective this ~ day of ~- ~~~«; 2009, by and between the Redevelopment Agency of the City of San Leandro, a public body corporate and politic (the "Agency") and the City of San Leandro, California a municipal corporation and public body corporate and politic (the "City"). RECITALS WHEREAS, the Agency is a redevelopment agency existing pursuant to the Community Redevelopment Law, California Health and Safety Code Section 33000, et seq. Pursuant to its authority under California law, the Agency has the responsibility to carry out the Redevelopment Plan for the Alameda County-City of San Leandro (Joint) Redevelopment Project Area ("Joint Project Area") and the Plaza Redevelopment Project Area ("Plaza Projet Area") (the "Redevelopment Plan"). WHEREAS, Section 33220(a) of the Health and Safety Code provides that, for the purpose of aiding and cooperating in the Redevelopment Plan, the City, upon the terms and with or without consideration as it determines, may aid and assist the Agency with redevelopment projects by entering into an agreement with the Agency. WHEREAS, both the Agency and the City desire to undergo revitalization efforts within the Joint Project Area and the Plaza Project Area (hereafter, the "Project Areas"). To this end, the Agency and City desire to cooperate with regard to the design and construction of the Davis/Hays Replacement Parking and Albertsons Replacement Parking projects (the "Project"). NOW, THEREFORE, in consideration of the mutual promises set out above, the Agency and the City agree as follows: AGREEMENT Section 1. Cooperation Agreement. The Agency and the City will cooperate in the performance of the improvement activities of the Project. Section 2. Payment by Agency for City Services. To facilitate the improvement activities of the Project, the Agency shall pay for the costs incurred related to the construction of the Project at a cost not to exceed TWO HUNDRED FORTY-FIVE THOUSAND DOLLARS ($245,000.00). The parties agree to cooperate in other administrative matters, to affect the development of the Project. EXHIBIT A PAGE I OF 2
