1, Possess, operate, complete, lease, rent, renovate, modernize, insure, or sell for cash or <br />. credit, in its sole discretion any properties conveyed to it in exchange for debentures as <br />provided in the Insurance Law. <br />Pursue to final collection by way of compromise or otherwise all claims against the <br />Developer assigned by Developer to the City; or <br />3. Convey and execute in the name of the City deeds of conveyance, deeds of release, <br />assignments and satisfactions of the Deed of Trust, and any other written instrument <br />relating to real or personal property or any interest therein acquired by the City. <br />SECTION 17. NOTICES <br />All notices, certificates or other communications, with the exception of status reports required under Section <br />11, shall be sufficiently given and shall be deemed given on the second day following the date on which the <br />same have been mailed by certified mail, postage prepaid, addressed as follows: <br />If to the City: City of San Leandro <br />835 East 14th Street <br />San Leandro CA 94577 <br />Attn: Community Development Director <br />If to the Developer: Citizens' Housing Corporation <br />A California Nonprofit Public Benefit Corporation <br />26 O'Farrell Street, Sixth Floor <br />San Francisco CA 94108 <br />Attn: Executive Director <br />Status reports, as required under Section 11, shall be sufficiently given and shall be deemed given on the <br />second day following the date on which the same have been mailed to the City, addressed as specified in <br />this Section. <br />The City and the Developer may, by notice given hereunder, designate any further or different addresses to <br />which subsequent notices, certificates or other communications shall be sent. <br />SECTION 18. INDEMNIFICATION <br />The Developer hereby covenants and agrees that it shall, at is own expense, defend, indemnify and hold <br />harmless the City, its respective officers, directors, officials, employees and agents (the "Indemnitee") from <br />and against any and all claims by or on behalf of any person arising from any cause whatsoever in <br />connection with the performance by the Developer and its officers, directors, officials, employees and <br />agents under this Regulatory Agreement, any and all claims arising from any act or omission of the <br />Developer or any of its agents, contractors, servants, employees or licensees in connection with the <br />Project, including but not limited to construction and operations, and all costs, counsel fees, expenses, or <br />
