officials, employees and volunteers for losses arising from work <br />performed by MCI for the City. <br />3) All Coverages: Each certificate of insurance required by this clause shall <br />contain a provision stating that the insurer or its authorized <br />representative(s) shall provide thirty (30) days' prior written notice of <br />intent to non-renew, cancellation or material adverse change, to City, <br />except ten (10) day notice for nonpayment of premium shall apply. by <br />certified mail, return receipt requested, has been given to the City. <br />d. Acceptability of Insurers: Insurance is to be placed with insurers with a Bests' <br />rating of no less than A-:VII. <br />e. Verification of Coverage: MCI shall furnish City with certificates of insurance <br />and the Broad Additional Insured endorsement effecting coverage required by this <br />clause. The certificates are to be signed by a person authorized by that insurer to <br />bind coverage on its behalf. The certificates are to be received and reasonably <br />approved by the City before work commences. The City reserves the right to <br />require complete, certified copies of all required insurance policies, at anytime. <br />Upon such request MCI will make copies of its policies available for review at the <br />local MCI office. Upon completion of review all policies will be returned to the <br />Corporate Risk Management Department in Basking Ridge, New Jersey. <br />f Subcontractors: MCI shall furnish separate certificates for each subcontractor. <br />All coverages for subcontractors shall be subject to substantially the same <br />requirements stated herein. <br />g. The Risk Manager of City may approve a variation in those insurance <br />requirements upon a determination that the coverages, scope, limits and forms of <br />such insurance are either not commercially available or that the City's interests <br />are otherwise fully protected. <br />h. The insurance afforded hereunder to the City of San Leandro shall be primary as <br />to any other insurance or reinsurance covering or available to the City of San <br />Leandro, and such other insurance or reinsurance shall not be required to <br />contribute to any liability or Ioss until and unless the approximate limit of liability <br />afforded hereunder is exhausted. <br />MISCELLANEOUS <br />23. MCI shall obtain a Business License from the City prior to the issuance of an <br />Encroachment Agreement. <br />24. This Agreement shall not be assignable by MCI without the approval of City, <br />which approval shall not be unreasonably withheld, conditioned, or delayed; provided, however, <br />that MCI may assign the rights granted hereunder to a parent, successor, subsidiary, joint <br />Encroachment Agreement Page 9 of 12 <br />Rev: 11/30/94, 11/13/95 <br />
