EXHIBIT A <br />DEFINITIONS <br />For all purposes of this Agreement, except as otherwise expressly provided herein <br />or unless the context otherwise requires, capitalized terms not otherwise defined herein shall <br />have the meanings set forth below. <br />"Act" means Chapter 14XXXX of the California Statutes of 2009 (Assembly Bill <br />No. 15), as amended. <br />"Bill of Sale" has the meaning given to that term in Section 2(b)(ii) hereof. <br />"Closing Date" means the date on which the Bonds are issued. The Closing Date <br />is expected to be November 19, 2009, but the Purchaser may change the Closing Date by <br />providing e-mail notification to pcarter@ci.san-leandro.ca.us not later than one day prior to the <br />Closing Date. <br />"Controller" means the Controller of the State. <br />"County Auditor" fneans the auditor or auditor-controller of the county within <br />which the Seller is located. <br />"Credit Enhancer" means any municipal bond insurance company, bank or other <br />financial institution or organization which is performing in all material respects its obligations <br />under any Credit Support Instrument for some or all of the Bonds. <br />"Credit Support Instrument" means a policy of insurance, a letter of credit, a <br />stand-by purchase agreement, a revolving credit agreement or other credit arrangement pursuant <br />to which a Credit Enhancer provides credit ar liquidity support with respect to the payment of <br />interest, principal or purchase price of the Bonds. <br />"Initial Amount" means, with respect to the Proposition lA Receivable, the <br />amount of property tax revenue reallocated away from the Seller pursuant to the provisions of <br />Section 100.06 of the Revenue and Taxation Code, as certified by the County Auditor pursuant <br />to the Act. <br />"Installment Payments" have the meaning set forth in Section 2(a). <br />"Payment Dates" have the meaning set forth in Section 2(a). <br />"Pricing Date" means the date on which the Bonds are sold. The Pricing Date is <br />expected to be November 10, 2009, but the Purchaser may change the Pricing Date by providing <br />e-mail notification to pcarter@ci.san-leandro.ca.us not later than one day prior to the Pricing <br />Date. <br />"Principal Place of Business" means, with respect to the Seller, the location of the <br />Seller's principal place of business and chief executive office located at 835 E. 14th Street, San <br />Leandro, Ca 94577. <br />A-1 <br />
