EXHIBIT D <br />NSP Program Agreement <br />AGREEMENT BY AND BETWEEN <br />CONTRACTOR <br />AND <br />THE COUNTY OF ALAMEDA <br />THIS AGREEMENT is made and entered into this DATE, by and between the County of <br />Alameda, a body corporate and politic of the State of California, (hereinafter referred to as <br />"County"), and DEVELOPER (hereafter referred to as "Contractor"). <br />L WHEREAS, the County has applied for and received funds from the United States <br />Government under a grant program authorized by Title III of Division B of the Housing and <br />Economic Recovery Act 2008 ("HERA" or the "Act"), Section 2301, and funded under the <br />American Reinvestment and Recovery Act of 2009 ("ARRA") which included an allocation of <br />funds for additional activities under Division B, Title III of the Housing and Economic Recovery <br />Act of 2008 ("HERA"). The additional funds are referred to as the Neighborhood Stabilization <br />Program 2 ("NSP2"). The purpose of NSP2 is to assist in the redevelopment and rehabilitation <br />of abandoned and foreclosed properties. NSP2 is a component of the federal Community <br />Development Block Grant Program under Title I of the Housing and Community Development <br />Act of 1974, as amended ("CDBG").; and <br />WHEREAS, except as otherwise prescribed by the Act, the statutory and regulatory <br />provisions that govern the Community Development Block Grant ("CDBG") program under <br />Title I of the Housing and Community Development Act of 1974, as amended, apply with equal <br />force to the NSP (including those at 24 CFR part 570 subparts A, C, D, J, K, and O, as <br />appropriate); and <br />WHERAS, the activities of CONTRACTOR under this Agreement with the County shall <br />be governed by the conditions of the Grant Agreement between the County and the United States <br />Department of Housing and Urban Development; and <br />WHEREAS, County is desirous of contracting with Contractor for the provision of <br />certain services, a description of which are presented in Exhibit A, attached hereto; and <br />WHEREAS, Contractor is willing and able to perform duties and render services which <br />are determined by County's Board of Supervisors to be necessary or appropriate for the welfare <br />of residents of County; and <br />WHEREAS, County desires that such duties and services be provided by Contractor, and <br />Contractor agrees to perform such duties and render such services, as more particularly set forth <br />below; <br />4 of 55 <br />
