after thirty (30) days' prior written notice by certified mail, return <br />receipt requested, has been given to the City. <br />a) Acceptability of Insurers. Insurance is to be placed. with <br />insurers with a Bests' rating of no less than A:VII. <br />b) Verification of Coverage. .Owner shall furnish City with <br />certificates of insurance and with original endorsements <br />effecting coverage required by this Section 7. The certificates <br />and endorsements for each insurance policy are to be signed <br />by a person authorized by that insurer to bind coverage on its <br />behalf. The certificates and endorsements are to be received <br />and approved by the City before work commences. The City <br />reserves the right to require complete, certified copies of all <br />required insurance policies, at any time. <br />c) Subcontractors. Owner and/or Owner's general contractor shall <br />include all subcontractors as insureds under its policies or shall <br />obtain separate certificates and endorsements for each <br />subcontractor. All coverages for subcontractors shall be subject <br />to all of the requirements stated herein. <br />d) Waiver of Subrogation. Owner hereby grants to City a waiver of <br />any right to subrogation which any insurer of Owner may <br />acquire against the City by virtue of the payment of any loss <br />under such insurance. This provision applies regardless of <br />whether or not the City has requested or received a waiver of <br />subrogation endorsement from the insurer. <br />8. Compliance with Laws; Indemnity. <br />8.1 Compliance with Laws. In connection with development, construction and <br />installation of the Improvements, Owner shall comply, and shall cause its contractors to <br />comply, with all applicable federal, state and local laws, rules, ordinances and <br />regulations, including without limitation, all applicable federal and state labor laws and <br />standards, applicable provisions (if any) of the California Labor Code Section 1720 et <br />seq. and the regulations adopted pursuant thereto ("Prevailing Wage Laws"), the City <br />zoning and development standards, building, plumbing, mechanical and electrical <br />codes, and all other provisions of the City's Municipal Code. <br />8.2 Indemnity. Owner shall indemnify, defend with counsel acceptable to City, <br />and hold City and its elected and appointed boards, commissions, officers, officials, <br />agents, contractors and employees (collectively, "Indemnitees") harmless from and <br />against any and all losses, liabilities, expenses (including without limitation attorneys' fees <br />and costs of litigation), claims, demands, costs, suits, actions, causes of action, judicial or <br />administrative proceedings, penalties, deficiencies, fines, orders, and damages <br />(collectively, "Claims") directly or indirectly in whole or in part caused by, arising from or <br />1328680-7 <br />
