Administrators or Advisory Committee members may allocate the responsibilities among <br />themselves, in which event the Administrators and Advisory Committee members shall notify <br />the Employer and the Trustee in writing of such action and specify the responsibilities of each <br />Administrator or Advisory Committee member. The Trustee thereafter shall accept and rely <br />upon any documents executed by the appropriate Administrator or Advisory Committee <br />member until such time as the Employer, the Administrator or the Advisory Committee files <br />with the Trustee a written revocation of such designation. Except where there has been an <br />allocation and delegation of administrative authority pursuant to this section, if there shall be <br />more than one Administrator or Advisory Committee member, they shall act by a majority of <br />their number, but may authorize one or more of them to sign all papers on their behalf. The <br />Administrators or Advisory Committee may act with or without a meeting being called or held <br />and shall keep minutes of all meetings held and a record of all actions taken by written <br />consent. No Administrator or Advisory Committee member may participate in any decision <br />that involves solely the Administrator's or Advisory Committee member's interest as a <br />Participant in the Plan. <br />11.07. Powers And Duties Of The Administrator. <br />The primary responsibility of the Administrator is to administer the Plan for the exclusive <br />benefit of the Participants and their Beneficiaries, subject to the specific terms of the Plan. <br />The Administrator shall administer the Plan in accordance with its terms and shall have the <br />power and discretion to interpret and construe the terms of the Plan, to decide any disputes <br />and resolve any ambiguities which may arise relative to the rights of the Employees, past and <br />present, and their Beneficiaries, under the terms of the Plan, and to determine all questions <br />arising in connection with the administration, interpretation and application of the Plan. Any <br />such determination by the Administrator shall be conclusive and binding upon all persons. <br />The Administrator may establish procedures, correct any defect, supply any information, or <br />reconcile any inconsistency in such manner and to such extent as shall be deemed necessary <br />or advisable to carry out the purpose of the Plan; provided, however, that any such procedure, <br />discretionary act, interpretation or construction shall be done in a nondiscriminatory manner <br />based upon uniform principles consistently applied, and shall be consistent with the intent that <br />the Plan shall continue to meet the requirements of Code section 457(b) and all regulations <br />issued pursuant thereto. The Administrator shat( have all powers necessary or appropriate to <br />accomplish its duties under the Plan. The Administrator shall: <br />A. Determine Participant eligibility; <br />B. Compute and allocate Plan contributions; <br />C. Compute and allocate Trust gains and losses; <br />D. Calculate distributable benefits and instruct the Trustee as to the amount and <br />frequency of payments to the distributee; <br />E. Process claims and appeals from claims denied; and <br />F. Make recommendations to the Employer and the Trustee concerning any phase of <br />Plan management or administration other than Plan investments. <br />11.08. Powers and Duties Of The Advisory Committee. <br />The Advisory Committee shall be responsible for selecting the Plan investments and shall <br />periodically review and analyze all investment options, investment manager selections relating <br />to the Plan, and shall discuss any matter in connection with the discharge of the Advisory <br />Committee's fiduciary responsibilities with respect to Plan investments.
