2. FUNDING. San Leandro and Oakland shall utilize the Grant for the cost of Project Design. In the event the cost of Project Design exceeds $277,500, then San Leandro shall determine the amount of the overrun, confer with Oakland to determine the availability of supplemental funds to cover the overrun amount, and if approved by San Leandro and Oakland in each City's sole discretion, San Leandro shall apportion the agreed-upon responsibility for the respective share of the additional costs to San Leandro and Oakland. San Leandro and Oakland shall be responsible for using good faith efforts to identify funds to cover a share of any cost overrun. In the event that the Project Design is completed without utilizing the entire Grant, any fund balance will be designated for San Leandro's construction cost. 3. PROJECT ADMINISTRATION. The Parties agree that San Leandro shall administer the contracts required to carry out the Project Design. San Leandro shall enter into contracts with the selected design consultant and for all other professional services required to carry out the Project Design. San Leandro shall use its standard procedures consistent with the terms of the grant for all selection and contract processes. San Leandro shall consult with Oakland prior to approving, modifying, or terminating any contracts entered into pursuant to this MOU. 4. ORGANIZATIONAL FRAMEWORK. San Leandro shall act as the lead agency for the Project. Oakland shall review progress of plans and specifications at the 10%, 30%, 70% and 100% stages and respond to San Leandro in a reasonable time period to be determined between Oakland and San Leandro engineering departments. San Leandro will take the lead in scheduling periodic project coordination meetings as needed. ADDITIONAL CONSULTANTS If necessary for the efficient and proper preparation of the Project Design, San Leandro may retain the services of additional consultants, on an as needed basis, provided that the total cost expended for the Project Design shall not exceed $277,500 without the consent of the Parties. 6. TERM. The term of this MOU shall be 24 months from the date of this MOU, unless extended by the written consent of all Parties. 7. TERMINATION AND WITHDRAWAL. Any Party may terminate its participation in, and withdraw from, this MOU by providing the other Parties with written notice of said termination and withdrawal. Such termination and withdrawal shall become effective upon thirty (30) days from such written notice, but shall not affect such withdrawing Party's funding obligation under Section 2 of this MOU. 2
