C. <br />COOPERATION AGREEMENT <br />This Agreement is entered into this 16th day of January, 2001, by and between the <br />SAN LEANDRO HILLSIDE GEOLOGIC HAZARD ABATEMENT DISTRICT (the "District") <br />and the CITY OF SAN LEANDRO (the "City") (collectively, "the Parties"). The District and <br />City agree as follows: <br />RECITALS <br />A. Pursuant to Public Resources Code Section 26579, the District is empowered to <br />enter into a Cooperation Agreement with the City of San Leandro to facilitate the exercise of <br />powers and functions of the District in preventing, mitigating, abating or controlling a geologic <br />hazard and in mitigating or abating structural hazards caused by geologic hazards; and <br />B. The City and the District wish to enter into an agreement which will set forth the <br />activities, services and facilities which the City will render for and make available to the District <br />in the furtherance of the activities and functions of the District under Division 17 of the Public <br />Resources Code ("Division 17"), and which will further provide that the District will reimburse <br />the City for actions undertaken and costs and expenses incurred by it for and on behalf of the <br />District. <br />NOW, THEREFORE, the Parties AGREE as follows: <br />1. The City agrees to provide for the District such staff assistance, supplies, technical <br />services and other services and facilities of the City as the Agency may require in carrying out its <br />functions under Division 17. Such assistance and services may include the services of City <br />officers and employees and special consultants. <br />2. The City shall keep records of activities and services undertaken pursuant to this <br />Agreement and the costs thereof in order that an accurate record of the District's liability to the <br />City can be ascertained. The City shall periodically, but not less than annually, submit to the <br />District a statement of the costs incurred by the City in rendering activities and services of the <br />City to the District pursuant to this Agreement. This Agreement may include a proration of the <br />City's administrative and salary expenses attributable to services of City officials, employees and <br />departments rendered for the District. <br />3. The District agrees to reimburse the City for all costs incurred for services by the City; <br />provided, however, that (i) the City may at its sole discretion waive the requirement for such <br />reimbursement upon approval by the City Manager; and (ii) the City may make gifts of funds <br />and otherwise provide, at its sole discretion, financial resources to the District subject to <br />limitations of applicable law. <br />Page 1 of 2 <br />
