6. All warranties and service or maintenance contracts shall be between the vendor and <br />PARTICIPANT. PARTICIPANT shall deal directly with the vendor and in no event shall <br />PARTICIPANT look to CITY for any claims relating to warranty, service, or maintenance. <br />PARTICIPANT is responsible and required to maintain EQUIPMENT in good working <br />condition and maintain adequate home or renter's insurance coverage for the term of the <br />loan. The City will not assume any liability for damage or theft of equipment or software. <br />7. This Agreement is an integrated agreement. It supersedes all prior negotiations, any <br />representations or agreements, either written or oral. This Agreement maybe amended only <br />by a written instrument signed by the parties. <br />8. In the event that either party hereto brings any suit against the other party to enforce any <br />rights under this Agreement, then the prevailing party to any such suit shall recover from <br />other party its reasonable attorney's fees and costs incurred in connection therewith. <br />9. It is expressly agreed by both parties to this Agreement that it is not the intent of this <br />Agreement that PARTICIPANT perform job-related work at home. PARTICIPANT shall <br />not perform job-related work at home unless specifically authorized by the <br />PARTICIPANT'S supervisor. Unless specifically authorized, job-related work performed <br />at home shall not be compensated time nor shall it be considered in computing employee <br />benefits. <br />10. PARTICIPANT shall not use CITY'S supplies, software, or data, for his/her personal use. <br />11. PARTICIPANT shall indemnify and hold harmless CITY from any and all claims arising <br />out of PARTICIPANT'S purchase, use or repair of the EQUIPMENT. <br />12. Any notices sent to the parties relating to this Agreement shall be sent by first class mail, <br />postage prepaid, or delivered to the following addresses: <br />CITY OF SAN LEANDRO PARTICIPANT <br />Finance Director <br />835 East 14th Street <br />San Leandro, CA 94577-3767 <br />Either party may amend its address by giving written notice to the other. PARTICIPANT <br />shall advise CITY of a change of address within seven (7) days of such change. <br />13. PARTICIPANT shall provide a completed System Verification Form (IS-ECPP4) to <br />Information Services within fifteen (15) days of receiving a loan check from the Finance <br />Department. <br />07-16-01 13 <br />
