a pro -rata share of the costs of construction, maintenance, and operation of the <br />reader board sign; and (ii) the payment to Tenant of a reasonable rent for space on <br />the reader board sign. Additionally, such reader board sign may be used by the City <br />of San Leandro ("City"), upon agreement with Tenant, to broadcast community <br />service messages. Any other first quality retail and commercial businesses may also <br />use space on such reader board sign, provided: (i) space is available; (ii) Tenant <br />reasonably approves such use; (iii) such business pays a pro -rata share of the costs of <br />construction, maintenance, and operation of the reader board sign; and (iv) the <br />payment to Tenant of a reasonable rent for space on the reader board sign. <br />4.1.1. Proposed Facilities and Improvements. Tenant proposes to <br />construct a reader board sign, and related facilities and improvements upon the <br />Premises as set forth in Exhibit B. <br />4.1.2. Failure to Construct Facilities and Improvements. Tenant's <br />failure to construct a reader board sign, and related facilities and improvements as <br />provided in 4.1.1 within two (2) years of the date of this Lease constitutes a default <br />under this Lease. <br />4.2 Operation of Facility. <br />4.2.1 Use. Tenant shall use and operate the -Premises, in a safe, clean, <br />and sanitary manner. Tenant shall obtain all necessary governmental entitlements to <br />operate the Premises, and shall abide by any conditions of use imposed by the City, <br />CalTrans, or any other governmental agency with jurisdiction. <br />4.2.2 Utilities. Landlord shall bear the cost of bringing electrical and <br />other public utility services to the Premises, with reimbursement to be provided by <br />Tenant as agreed upon by the parties after the cost of bringing such utility services is <br />fixed. Tenant shall fully and promptly pay for all electrical and other public utility <br />services of every kind furnished to the Premises throughout the term of the Lease, <br />and all other costs and expenses of every kind whatsoever of or in connection with <br />the use, operation, and maintenance of the reader board sign and Premises, and all <br />activities conducted on such Premises. <br />4.3 Reservations to Landlord. <br />4.3.1 Landlord's RilZht to Grant Easements.
