"Purchase Price" -The purchase price of the Property as defined in Section 3.02 of Part Two of the Agreement. <br />"Redevelopment Plan" -The Alameda County - City of San Leandro Redevelopment Plan, which was approved <br />and adopted on July 12,1993, by the Board of Supervisors of the County ofAlameda byOrdinance No. 0-95- <br />5, as amended. <br />"Transfer" -Any total or partial sale, transfer, conveyance, assignment or lease of the Property. <br />"Yokota Property" -the Property located at 467, 505 and 517 Marina Boulevard, more particularly described <br />in the attached Exhibit C. <br />"Yokota Site A" - a portion of the Yokota Property set forth in Exhibit C to this Agreement. <br />"Yokota Site B" - a portion of the Yokota Property set forth in Exhibit C to this Agreement. <br />"Yokota Site C" - a portion of the Yokota Property set forth in Exhibit C to this Agreement. <br />"Yokota Site D" - a portion of the Yokota Property set forth in Exhibit C to this Agreement. <br />PART TWO: THE DEVELOPMENT <br />The Agency has selected Developer to complete the development of the San Leandro Auto Mall. In <br />consideration, Developer shall relinquish all rights under the Memorandum of Understanding entered into <br />between Developer and the Agency on June 17, 2000. Developer hereby agrees to the following terms for <br />completion of the auto mall. <br />1.01 Development of Property A. <br />Developer has acquired the property at 765 Marina Boulevard (Property A) in a private transaction, <br />for $1,550,000. The Agency shall acquire from Developer the portion of Property A specified in Exhibit A to <br />this Agreement. The purchase price for the property specified in Exhibit A shall be $450,000, which price <br />includes the land necessary for the right of way and severance damages. Agency shall quitclaim this portion <br />to the City of San Leandro for the widening of Marina Boulevard. The City or Agency shall pay all costs of the <br />widening project. <br />1.02 Development of Property B. <br />The Agency shall acquire the property at 635 Marina Boulevard (hereinafter referred to as Property <br />B and identified in Exhibit B). <br />Developer shall develop Property B into a site for the display and storage of new and used vehicles <br />pursuant to the terms of this Agreement. <br />Disposition and Development Agreement (Automall) Page 4 of 29 <br />
