SECTION 4.11 <br />CONFLICT OF INTEREST <br />Recipient shall not, during the term of this Agreement, without obtaining the written <br />consent of City, permit any member of the governing board of the Recipient to perform for <br />compensation any administrative or operational functions for the Recipient with respect to the <br />performance of this Agreement (including, but not by way of limitation, fiscal, accounting, or <br />bookkeeping functions.) <br />SECTION 4.13 ANTI-DISCRIMINATION COVENANT <br />In conjunction with performance of this Agreement, Recipient has been made cognizant <br />of and will comply with, all applicable affirmative action, anti-discrimination and equal opportunity <br />guidelines and requirements of the federal, state, or local government. Recipient will use its <br />best efforts to utilize minority and female enterprises and ensure that minority and female-owned <br />enterprises have equal opportunity to compete for subrecipient work under this contract. <br />SECTION 4.14 <br />DRUG-FREE WORKPLACE <br />Recipient and Recipient's employees shall comply with City's policy of maintaining a <br />drug-free work place. Neither Recipient nor Recipient's employees shall unlawfully <br />manufacture, distribute, dispense, possess or use controlled substances, as defined in 21 U.S. <br />Code Section 812, including marijuana, heroin, cocaine, and amphetamines, at any City facility <br />or work site. Violation of this provision shall constitute a material breach of this Agreement. <br />SECTION 4.15 NOTICE TO CITY <br />Within ten days give notice in writing to City of (1) the occurrence of any event of default; <br />(2) any change in name or address of Recipient or Recipient's business location, and in the <br />case of an organization, any change in name, identity or legal structure; or (3) any uninsured or <br />partially uninsured loss through fire, theft, liability, or property damage in excess of an aggregate <br />of Twenty Five Thousand Dollars ($25,000). <br />SECTION 4.16 TAXES AND OTHER LIABILITIES <br />Recipient shall pay and discharge when due any and all indebtedness, obligations, <br />assessments, taxes real and personal, including federal and state payroll and income taxes, <br />except such as Recipient may in good faith contest or as to which a bona fide dispute may arise; <br />provided provision is made to the satisfaction of City for eventual payment thereof in the event <br />that it is found that the same is an obligation of Recipient. <br />7 <br />
