DEFINITIONS <br />The following definitions relate to such terms found in the entire Agreement, including, without limitation, all <br />Exhibits hereto. <br />A. "Agency" -Redevelopment Agency of the City of San Leandro. <br />B. °City" -City of San Leandro. <br />C. "Contributor' -San Leandro Investors, LLC. <br />D. "Date of Substantial Completion" -The date when a Certificate of Occupancy have been issued by <br />the City for the building. <br />E. °Developer' -American Baptist Homes of the West (ABHOW), Inc., a California Non-profit Public <br />Benefit Corporation. <br />F. °Site" -The property located at 232 East 14'h Street and more fully described in Exhibit A. <br />G. °Site Plan" -The plan submitted to the Agency by Developer on January 3, 2000, and incorporated <br />herein as Exhibit B. <br />H. "Redevelopment Plan" -The City of San Leandro/County of Alameda Redevelopment Plan <br />adopted by the City Council of the City of San Leandro and the Board of Supervisors of Alameda <br />County, as amended. <br />AGREED: <br />PART ONE: PROJECT <br />Article One: DEVELOPER'S AND CONTRIBUTOR'S PRE-DISPOSITION REQUIREMENTS <br />1.01 Conditions Precedent <br />As a condition precedent to the Agency's obligation to sell and convey to Developer the Site <br />acquired by the Agency and Developer's commencement of construction, the conditions set forth in this <br />Article One must be met no later than twelve months after the execution of this Agreement, unless such <br />time limit is extended by the Agency or at the discretion of its Executive Director. - <br />1.02 The Development <br />The Development shall consist of the construction of a senior affordable housing complex of 60 <br />units at 232 East 14'h Street in San Leandro ("Improvements").
